Class B Share definition

Class B Share means a Class B ordinary share of a par value of US$0.0001 in the share capital of the Company.

Class B Share has the meaning set forth in Section 5.1.C.

Class B Share means a common share representing a limited liability company interest in Och-Ziff designated as a “Class B Share.”

• Each Class B Share is intended to be treated as a profits interest for U.S. federal income tax purposes, and all of the Members agree to report consistently with, and to take any action requested by the Board to ensure, such treatment.
