Class B Unit Price definition

Class B Unit Price shall have the meaning specified in Section 2.01(b).

Class B Unit Price means $57.04.

Class B Unit Price means the amount per Class B Unit each Holder will pay to CPLP to purchase the Purchased Units.

• Subject to the terms and conditions hereof, CPLP hereby agrees to issue and sell to each Purchaser and each Purchaser, severally and not jointly, hereby agrees to subscribe for and purchase from CPLP, the number of Purchased Units as set forth on Schedule A opposite the name of such Purchaser, and each Purchaser agrees to pay CPLP the Class B Unit Price for each Purchased Unit as set forth in paragraph (b) below.

• The number of L.P. Class B Units issued to each such Principal shall equal the quotient of (i) such Principal’s pro rata portion of the Growth Equity Payment as set forth on Schedule 2.6.1(a), and (ii) the L.P. Class B Unit Price.

• The initial Capital Account Balance in respect of each Class B Unit on the date hereof is the Class B Unit Price on such date.

Class B Unit Price has the meaning ascribed thereto in the Exchangeable Securities Provisions;

Class B Unit Price means the amount per Class B Unit each Holder will pay to CPLP to purchase the Purchased Units. “Closing Date” means May 22, 2012.

Class B Unit Price means the amount per Class B Unit the Holder will pay to CPLP to purchase the Purchased Units. “Closing Date” means June 6, 2012.

Class B Unit Price means the initial price to the public of a Share in an IPO or the price per Share to the equity investors in a Liquidity Event that is a private placement, less a cumulative available discount of up to $3,900,000 for all Class B Limited Partners, applied in accordance with this definition on a pro rata basis. If the initial Liquidity Event is a private placement of equity, to the extent that a Class B Partner retains an equity interest in the Partnership or the Surviving Entity, such Partner will receive an appropriate discount measured by the savings of underwriting costs, if any, arising as a result of such Partner's continued interest. In any IPO, the Class B Partners will receive a discount in computing the amount of continued equity investment equal to (A) such Partner's pro rata share of the initial cumulative available discount of $3,900,000 multiplied by a fraction, the numerator of which is the Class B Limited Partner's Agreed Value after reduction for any distribution in cash previously made from Net Liquidity Event Proceeds, or in the IPO, and the denominator of which is such Partner's initial Agreed Value less (B) the amount of discount previously utilized

Class B Unit Price means the amount per Class B Unit each Holder will pay to CPLP to purchase the Purchased Units. “Closing Date” means March 19, 2013.

Class B Unit Price shall be $18.71 per Class B Unit.
