Class B Unit Price definition

Class B Unit Price shall have the meaning specified in Section 2.01(b).
Class B Unit Price means $57.04.
Class B Unit Price means the amount per Class B Unit each Holder will pay to CPLP to purchase the Purchased Units.

  • If the transactions of the Class A and Class B Units are linked, then the transaction price shall be based on the linked Class A and Class B Unit Price allocated to the Class A Units and Class B Units according to the percentage of profits and losses allocated by USPB to Class A Units and Class B Units, respectively, under the USPB LLC Agreement, Section 3.6(b).

  • The number of L.P. Class B Units issued to each such Principal shall equal the quotient of (i) such Principal’s pro rata portion of the Growth Equity Payment as set forth on Schedule 2.6.1(a), and (ii) the L.P. Class B Unit Price.

Class B Unit Price means the amount per Class B Unit each Holder will pay to CPLP to purchase the Purchased Units. “Closing Date” means May 22, 2012.

Class B Unit Price applicable on any date means, for each Class B Unit, an amount equal to the aggregate of: (i) the Exchange Ratio Percentage of the Current Market Price on such date of one Enerplus Unit; plus (ii) an amount equal to the Exchange Ratio Percentage of all cash distributions declared and paid or (where the record date for determining the holders of Enerplus Units entitled to receive such distribution has occurred) declared and unpaid on an Enerplus Unit in respect of which a corresponding cash loan was not made in respect of the Class B Unit; plus (iii) the Exchange Ratio Percentage of the Current Market Price on such date of all Enerplus Units (or fraction thereof) constituting distributions declared and paid or (where the record date for determining the holders of Enerplus Units entitled to receive such distribution has occurred) declared and unpaid on an Enerplus Unit in respect of which a corresponding Subdivision of the Class B Unit was required to be but not made; plus (iv) the Exchange Ratio Percentage of the full value of such other property constituting distributions declared and paid or (where the record date for determining the holders of Enerplus Units entitled to receive such distribution has occurred) declared and unpaid on an Enerplus Unit in respect of which a corresponding non-cash loan was not made in respect of the Class B Unit;
