Class D Common Units definition

Class D Common Units has the meaning set forth in Section 3.1(f).
Class D Common Units means any Unit denominated "Class D Common," which was initially issued to FHGLP on the Class B Common Measuring Date and was subsequently converted into a Class A Common Unit or a Class B Common Unit.
Class D Common Units have the meanings set forth in the Operating Agreement, provided that such terms shall include any Equity Securities issued or issuable with respect to any Class A Common Units, Class B Common Units, Class C Common Units and Class D Common Units by way of a distribution, unit dividend, unit split, conversion or in connection with a combination of units, recapitalization, merger, consolidation or other reorganization.

Examples of Class D Common Units in a sentence

  • Class D Common Units of the first such series shall be designated as “Class D-1 Common Units,” with each subsequent series of Class D Common Units to be designated with a consecutive number or as otherwise recorded in the books of the Partnership and the applicable Partner Agreement.

  • A Class D Limited Partner shall have the right, at such Limited Partner’s option, to either: (A) retain all of such Conversion Class D Common Units or (B) retain all of such Conversion Class E-2 Common Units.

  • Class D Common Units may be conditionally issued in one or more series of such class.

  • Class D Common Units of the first such series were designated as “Class D-1 Common Units,” with each subsequent series of Class D Common Units to be designated with a consecutive number or as otherwise recorded in the books of the Partnership and the applicable Partner Agreement.

  • As of the opening of business on the first business day following the Conversion Class E-2 Notice Date, the books and records of the Partnership shall be updated to reflect the cancellation of each Class D Limited Partner’s Conversion Class D Common Units or Conversion Class E-2 Common Units, as applicable, in accordance with Section 3.1(e)(ii).


More Definitions of Class D Common Units

Class D Common Units shall have the meaning given in the LLC Agreement.
Class D Common Units means the Class X0 Xxxxxx Xxxxx, Xxxxx X0 -------------------- Xxxxxx Units, Class D3 Common Units, Class D4 Common Units and Class D5 Common Units, each as defined in the LLC Agreement.
Class D Common Units means the Class D Units on the terms set forth on Exhibit A attached hereto.
Class D Common Units. (“Class D Common Units”). Class D Common Units may be issued in one or more series of such class. Class D Common Units of the first such series shall be designated as “Class D-1 Common Units,” with each subsequent series of Class D Common Units to be designated with a consecutive number or as otherwise recorded in the books of the Partnership and the applicable Partner Agreement. The respective Interests in the Class D Common Units of each Individual Limited Partner and his Related Trusts, if any, holding such Class D Common Units (each, a “Class D Limited Partner”) shall be as recorded in the books of the Partnership as being owned by such Partners pursuant to this Section 3.1. Except as otherwise set forth in this Agreement or the applicable Partner Agreement, if any, of any Class D Limited Partner, each series of Class D Common Units shall have the same rights, powers and duties, and the rights, powers and duties applicable to Class D Common Units shall be as set forth below and elsewhere in this Agreement:

Class D Common Units. “Class D-1 Common Units,” “Class D-2 Common Units” and “Class D-3 Common Units” each has the meaning set forth in the LLC Agreement.
Class D Common Units means the Class D Common Units to be issued pursuant to and having the rights, powers, privileges and preferences specified in Amendment No. 3 to the Amended and Restated Agreement of Limited Partnership of Regency, as amended (the “Regency Partnership Agreement”), the form of which Amendment is attached hereto as Exhibit J (the “Partnership Agreement Amendment”). The Class D Common Units shall be convertible pursuant to their terms into units representing limited partner interests of Regency designated as Common Units (“Common Units”) and having the rights, powers, privileges and preferences specified in the Regency Partnership Agreement.
