• The Exchange Shares will be allocated between Pubco Ordinary Shares and Pubco Class F Shares in proportion to the number of Company Ordinary Shares and Company Class F Shares owned by Seller at the time of the Share Exchange.

• In the event that Pubco securities that are convertible into Pubco Ordinary Shares (including Pubco Class F Shares) are included in the offering, the calculations under this Section ‎2.2.2 shall include such Pubco securities on an as-converted to Pubco Ordinary Share basis.
