Class IIA-2 Certificates. The Certificates designated as "Class IIA-2" on the face thereof in substantially the form attached hereto as Exhibit A-7. Except as otherwise described herein, the Class IIA-2 Certificates, all of which are related to the Mortgage Loans in Loan Group II, shall be entitled to receive distributions related solely to such Mortgage Loans.

Examples of Class IIA-2 Certificates in a sentence

  • The amount of interest which accrues on this Certificate in any month will be subject to reduction with respect to any Non-Supported Interest Shortfall, any Relief Act Shortfall and the interest portion of certain Realized Losses allocated to the Class II-A-2 Certificates, as described in the Agreement.

  • This certifies that Cede & Co. is the registered owner of a Percentage Interest (obtained by dividing the denomination of this Certificate by the aggregate Certificate Principal Balance of the Class II-A2 Certificates as of the Issue Date) in that certain beneficial ownership interest evidenced by all the Class II-A2 Certificates in the Trust Fund created pursuant to a Pooling and Servicing Agreement, dated as specified above (the “Agreement”), among Citigroup Mortgage Loan Trust Inc.

  • Any remaining Realized Losses with respect to the Group II Loans will be allocated on any Distribution Date, first, pro rata, to the Class II-A-3-2 Certificates, and Class II-A-3-1 Certificates, in each case, in reduction of the Certificate Principal Balance thereof, until reduced to zero, and second, to the Class II-A-2 Certificates, in reduction of the Certificate Principal Balance thereof, until reduced to zero.

  • Notwithstanding any contrary provision of this Agreement, the Class II-A Insurer shall have the right to consent to any amendment which materially affects its rights and obligations under this Agreement or the rights of any Holder of the Class II-A-1 Certificates and Class II-A-2 Certificates.

  • The Securities Administrator shall furnish to the Class II-A Insurer and the Fiscal Agent, if any, its records listing the payments on the affected Class II-A-1 Certificates and the Class II-A-2 Certificates, if any, that have been made by the Securities Administrator and subsequently recovered from the affected Holders, and the dates on which such payments were made by the Securities Administrator.

  • Funds received by the Trustee as a result of any claim under the Class II-A-2 Policy shall be used solely for payment to the Holders of the Class II-A-2 Certificates and may not be applied for any other purpose, including, without limitation, satisfaction of any costs, expenses or liabilities of the Trustee, the Master Servicer or the Trust Fund.
