Class N Certificate definition

Class N Certificate means any of the Certificates with a "Class N" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.

Class N Certificate. A Certificate designated as "Class N" on the face thereof, in the form of Exhibit A-19 hereto, and evidencing a "regular interest" in the Upper-Tier REMIC for purposes of the REMIC Provisions.

Class N Certificate. Any one of the Certificates with an "N" designated on the face thereof substantially in the form annexed hereto as Exhibit C-5, executed by the Trustee on behalf of the Trust and authenticated and delivered by the Certificate Registrar, representing the right to distributions as set forth herein and therein.

Examples of Class N Certificate in a sentence

• The Holder of a Class M-10 Certificate, Class M-11 Certificate, Class N Certificate, Class DSI Certificate, Class CA Certificate, Class CB Certificate or Residual Certificate desiring to effect such transfer shall indemnify and hold harmless the Trustee and the Depositor against any liability that may result if the transfer is not so exempt or is not made in accordance with such federal and state laws.

• This Class N Certificate shall not be entitled to any benefit under the Agreement or be valid for any purpose unless manually countersigned by an authorized signatory of the Trustee.

• This Class N Certificate is issued under and is subject to the terms, provisions and conditions of the Agreement, to which Agreement the Holder of this Class N Certificate by virtue of the acceptance hereof assents and by which such Holder is bound.

• The Holder of a Class M-10 Certificate, Class M-11 Certificate, Class M-12 Certificate, Class N Certificate, Class DSI Certificate, Class CA Certificate, Class CB Certificate or Residual Certificate desiring to effect such transfer shall indemnify and hold harmless the Trustee and the Depositor against any liability that may result if the transfer is not so exempt or is not made in accordance with such federal and state laws.

• Reference is hereby made to the further provisions of this Class N Certificate set forth on the reverse hereof, which further provisions shall for all purposes have the same effect as if set forth at this place.

More Definitions of Class N Certificate

Class N Certificate. Any one of the Certificates executed and authenticated by the Trustee or the Authenticating Agent in substantially the form set forth in Exhibit A-21 hereto.

Class N Certificate means any of the Certificates that collectively constitute the Class bearing the alphabetic class designation "N."

Class N Certificate. Any Class M-6N Certificate, Class M-7N Certificate, Class M-8N Certificate, Class M-9N Certificate, Class M-10N Certificate or Class M-11N Certificate.

Class N Certificate. Any one of the Class N Certificates executed by the Trustee, and authenticated and delivered by the Certificate Registrar, substantially in the form annexed hereto as Exhibit C-5, representing the right to distributions as set forth herein and therein.
