Client Confidential Information definition

Client Confidential Information means Client Technology and information which relates to Client’s research, development, systems, employees, customers, or business that Client designates in writing to Winmill as confidential.

  • BioIVT shall exercise reasonable care in handling any such Client Goods or Client Confidential Information and shall, at the Client’s request, return or destroy any Client Goods remaining in BioIVT’s possession upon completion of the Services, to the fullest extent permitted by Applicable Law.

Client Confidential Information means product formulations, manufacturing technology, operating processes and procedures, quality assurance methods, processes and procedures, packaging designs and manufacturing technology, marketing and sales strategies, volume and sales data, financial information, and research and development plans and data. Client Confidential Information shall also include all information, knowledge, know-how, or data regardless of form (whether written, oral, photographic, electronic, magnetic, computer, or otherwise) which is treated or designated by Client as confidential or proprietary.
Client Confidential Information includes but is not limited to all information, whether written or oral, in whatever form, including without limitation, information relating to the research, development, products, methods of manufacture, trade secrets, business plans, customers, vendors, finances, personnel data, Work Product, third party proprietary or confidential information and other material or information considered propriety by Customer relating to the current or anticipated business or affairs of Customer and any of their subsidiaries or affiliates which is disclosed directly or indirectly to APSOLUT .
Client Confidential Information means all information and data, whether written or oral, pertaining to the Client or the Material that is not commonly known by or available to the public including, without limitation, technical and non-technical data, formulae, procedures, methods, techniques, know-how, specifications, drawings, designs and processes;
Client Confidential Information means all information in whatever form that Client provides or authorizes to be provided to Paradigm in connection with the services rendered under this Agreement and that at the time of first receipt: (i) is clearly marked “confidential” or “proprietary;”

Confidential Information will not include any such information which Freelancer can establish (x) was publicly known or made generally available prior to the time of disclosure to Freelancer; (y) becomes publicly known or made generally available after disclosure to Freelancer through no wrongful action or inaction of Freelancer; or (z) is in the rightful possession of Freelancer, without confidentiality obligations, at the time of disclosure as shown by Freelancer’s then- contemporaneous written records; provided that any combination of individual items of information shall not be deemed to be within any of the foregoing exceptions merely because one or more of the individual items are within such exception, unless the combination as a whole is within such exception. To the extent Freelancer (1) collects, stores, transmits, discloses, processes, and/or otherwise uses information that identifies a particular individual (“Personal Information”) or
Client Confidential Information means (i) any Manufacturing Documentation provided by Client to LONZA, and all elements of the Manufacturing Process provided by Client to LONZA, clinical data and information, chemical structures, composition of matter rights, business plans, regulatory and Product strategies and all technical and other confidential and/or proprietary information, inventions, knowledge, materials and trade secrets, whether patented or unpatented, relating to Client processes, test methods, operations, technologies, forecasts and business information that is disclosed or supplied to LONZA by or on behalf of Client pursuant to this Agreement whether in written, oral, electronic or other tangible or intangible form, and (ii) data, materials, information and records of any kind and description developed, generated or otherwise created by LONZA in connection with the Services or that relate to the API or its formulation, use or stability.
Client Confidential Information means all information disclosed or otherwise made available by Client to Paychex that is marked confidential or is of the nature that a reasonable person would identify it as being confidential, including, without limitation the name, social security number, date of birth, address, financial and/or bank account information, and/or wage information of Client and Client's Workers provided to Paychex by Client. Paychex agrees that it shall implement and maintain a comprehensive information security program which contains administrative, technical, and physical safeguards that are deemed reasonable and necessary to protect Client Confidential Information from unauthorized access or acquisition. Paychex may disclose Client Confidential Information to its employees, affiliates, subsidiaries, agents, and contractors to (i) perform or offer Services; (ii) offer additional products or services to Client, and to Client Employees if Client selects the Financial Wellness Service; (iii) integrate third-party services into the Services; (iv) perform analysis to determine Client's qualification to receive services; and (v) collect Amounts Due and may disclose Client's payment experiences with Paychex to credit reporting agencies and supply vendor references on Client's behalf. Paychex may also disclose Client Confidential Information (i) to its attorneys, accountants, insurers, and auditors; and (ii) pursuant to any applicable Laws, court order, legal process, or governmental investigation. In the event of any compromise or security breach resulting in the disclosure or possible disclosure of Client Confidential Information, Paychex will notify Client as legally required of such compromise or breach.
