Client Entity definition
Client Entity means the Affiliate(s) of Client set out on the Cover Sheet who are designated to benefit from the Watch Volume Agreement (as amended from time to time upon written agreement between the Parties);
Client Entity means Client or a Client Affiliate.
Client Entity or ”Client Entities” means any company, trust, foundation, partnership or other legal entity to which we provide services for or on behalf of you or at your request, or arrange services provided by third party providers, agents and subcontractors acting on our behalf for or on behalf of you or at your request.

Herein, each Saint Luke’s subsidiary, Saint Luke’s Affiliate and each Client Entity shall be a “Facility” and collectively the “Facilities”.
For the avoidance of doubt, in the event such a contract is entered into, you and the Client Entity would be liable for any common or shared obligations owed to us on a joint and several basis.
You hereby consent to the entry into a separate contract between us and the Client Entity whereby the Client Entity may (among other things) accept the terms of the Agreement and assume certain obligations under the Agreement.
Saint Luke’s (or the Client Entity or Affiliate if such is the ordering party) shall pay conforming and undisputed invoices for Products in full within sixty (60) days after the receipt of the invoice, except no invoices shall be paid unless the applicable Products are received by Saint Luke’s (or the Client Entity or Affiliate if such is the ordering party) and are not rejected pursuant to Section 4 above.
Substitution or changes may be made in the methods of allocation hereinafter specified, as may be appropriate, and will be provided to state regulatory agencies and to each affected Client Entity.

Client Entity means any company, trust, foundation, partnership or other legal entity to which STM provide services for or on behalf of you or at your request.

Client Entity means any company, foundation, partnership, trust or association (whether incorporated or unincorporated) or other person or entity in respect of which Services are provided. “Data Protection Law” the data protection and information privacy laws of Ireland and the European Union and includes any legislation in force from time to time which includes The General Data Protection Regulation (EU) 2016/679, known as the General Data Protection Regulation or GDPR "Proper Instructions" means any requests or instructions which are written and are sent by courier or post or given by any other means of electronic transmission (including email and facsimile) in a readable form in respect of any of the matters referred to in these General Terms of Business which are signed (or purported to be signed) by or on behalf of the Customer. In instances indicated in advance by the Customer, and agreed by CGS, CGS may also act pursuant to instructions by telephone and such telephonic instructions shall be deemed to be Proper Instructions. Subject to these General Terms of Business, where Proper Instructions are given by telephone, they shall be authenticated in such manner as shall be agreed between the Customer and CGS from time to time and written confirmation thereof shall be sent by courier, post, facsimile or email to CGS as soon as practicable thereafter; "Regulations" means all laws, regulations, rules, requirements, codes of practice, policies, practices and guidelines applicable to CGS and/or the Services in the Relevant Jurisdiction and any request or requirement of any (or any quasi) governmental, administrative, judicial or regulatory body or person "Relevant Jurisdiction" means Ireland and (where any or all of the Services will be performed or provided outside of Ireland) such additional or substitute jurisdiction(s) notified by CGS to the Customer in writing for this purpose; "CGS" means the member(s) of CGS Group who provide the Services or any one or more of them from time to time; "CGS Appointees" means all persons provided by any member of CGS Group (whether or not pursuant to an Engagement Letter) to provide the Services including acting as a director or other officer, trustee, manager, nominee, signatory or shareholder of any Client Entity; "CGSEmployees" means the employees, directors, officers and consultants (as appropriate) of any member of CGS Group; "CGS Group" Means Blackglen Corporate Governance Solutions Limited and its parent, subsidiaries and affi...

Client Entity. / “Client Entities” means trusts, companies, foundations, partnerships and other incorporated or unincorporated entities or arrangements in respect of which Albany provides Services. “Data Protection Enactments” means the Data Protection (Bailiwick of Guernsey) Law, 2017, and the General Data Protection Regulation EU 2016/679 (as amended or replaced from time to time), guidance, directions, determinations, codes of practice, circulars, orders, notices or demands issued by the Guernsey Data Protection Authority or any competent data protection authority and any applicable national, international, regional, municipal or other data privacy authority or other data protection laws or regulations in any other territory in which personal data isprocessed or to which it is transferred. “Data ProtectionLaw” Data Protection (Bailiwick of Guernsey) Law, 2017. “Disclosure Law” Disclosure (Bailiwick of Guernsey) Law, 2007. “Engagement Letter” means any letter (and any attachments thereto including these Terms and Conditions) addressed and sent to the Client, which sets out the terms between Albany and the Client relating to the provision of Services. “Event of Force Majeure” means any circumstance not in the reasonable control of a member of Albany Group, including, fire, flood, storm, war, accident, water damage, explosion, act of God, insurrection, riot, civil unrest, mechanical breakdown, malfunction of utilities or computers (hardware or software) or communication services, errors, omissions, distortions, interruptions and/or delays in transmissions or delivery of post or communications in any medium or format howsoever caused, strike or other stoppage (whether partial or total) of labour, any enactment or order of any government or governmental body (including any court or tribunal), or any other cause (whether similar or dissimilar to any of the foregoing) beyond the reasonable control of members of Albany Group, or the reasonable control of any delegate or securities system. “Personal Data” means any information relating to an identified or identifiable individual and shall include “special category data”, which shall have the meaning given to it in the Data Protection Law. “Proceeds of Crime Law” Criminal Justice (Proceeds of Crime) (Bailiwick of Guernsey) Law, 1999 as amended.
