Closing Agenda definition

Closing Agenda means that certain Closing Agenda attached hereto as Exhibit D.

Closing Agenda. As defined in Section 7.

Examples of Closing Agenda in a sentence

• Except as disclosed on Schedule 9.6 to this Agreement, there are no claims, actions, suits, proceedings or investigations pending before or being conducted by any court, government officer or agency, or arbitrator relating to Xxxxxxxxx which could reasonably be expected to materially affect Xxxxxxxxx’x ability to enter into this Agreement, to complete the actions contained in the Closing Agenda, or to make its Initial Capital Contribution.

• Except as disclosed on Schedule 10.6 to this Agreement, there are no claims, actions, suits, proceedings or investigations pending before or being conducted by any court, government officer or agency, or arbitrator relating to Cyprus which could reasonably be expected to materially affect Cyprus’s ability to enter into this Agreement, to complete the actions contained in the Closing Agenda, or to make its Initial Capital Contribution.

• The obligations of both Cyprus and Xxxxxxxxx to execute (or cause the execution of) the Organization Documents and make, or cause to be made, the Initial Capital Contributions and complete the other transactions described in this Agreement are subject to the completion of all of the items comprising the Closing Agenda, or the mutual waiver by Cyprus and Xxxxxxxxx of completion of any items not so completed.

• Prior to the making of the initial Term Loan, the Borrower shall deliver to the Bank duly executed copies of this letter agreement, the Security Agreement, the Term Note and the documents and other items listed on the Closing Agenda delivered herewith by the Bank to the Borrower, all of which, as well as all legal matters incident to the transactions contemplated hereby, shall be satisfactory in form and substance to the Bank and its counsel.

• The obligations of the Bank hereunder are subject to delivery by the Borrower and the Guarantor to the Bank of this Agreement and all other documents set forth on the Closing Agenda attached hereto as Exhibit A.

More Definitions of Closing Agenda

Closing Agenda means the Closing Agenda prepared by the Administrative Agent’s counsel setting forth the required closing documentation and other items pursuant to Section 4.1, as the same may be amended or modified from time to time.

Closing Agenda means the Closing Agenda prepared by the Lender and delivered to the Borrower setting forth the documents and other items to be executed and/or delivered, and payments to be made, by the parties in connection with this Agreement.

Closing Agenda has the meaning set forth in Section 6.3.

Closing Agenda means the agenda listing the matters to be dealt with at Closing in the agreed form attached hereto as Schedule 10.

Closing Agenda means the closing agenda attached hereto as Exhibit P.

Closing Agenda means the list of documents agreed upon by counsel for the Purchaser and the Vendor to be delivered by the Purchaser and the Vendor at the Closing.
