Closing Expense Certificate definition

Closing Expense Certificate has the meaning set forth in Section 1.3(a)(iv).
Closing Expense Certificate has the meaning set forth in Section 2.2(b)(i)(c).
Closing Expense Certificate means the certificate prepared by the Company setting forth the Specified Transaction Expenses Parent shall pay at Closing.

  • Purchaser will pay the amount of the Specified Transaction Expenses, by wire transfer of immediately available funds, to each of the payees set forth in the Closing expense certificate prepared by the Company (the “Closing Expense Certificate”) to accounts designated in the Closing Expense Certificate.

  • Except for the fees included in the Closing Expense Certificate, which such fees are the responsibility of the Company Securityholders, no broker, finder or investment banker is entitled to brokerage or finders’ fees or agents’ commissions or investment bankers’ fees or any similar charges from the Company in connection with this Agreement or any transaction contemplated hereby.

  • Closing Date Statement has the meaning set forth in Section 2.06(b).

  • Tax Clearance Certificate means a tax clearance certificate issued by the South African Revenue Services (SARS) confirming that the natural or juristic person is a registered tax payer.

  • Financing Costs Adjustment Date means each of the following days:

  • Distribution Date Statement As defined in Section 4.02(a).

  • Closing Certificates means the officer’s certificates referenced in Section 7.3 and Section 8.3.

  • Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.

  • Closing Date Certificate means a Closing Date Certificate substantially in the form of Exhibit F-1.

  • Post-Closing Statement has the meaning set forth in Section 3.3(c).

  • U.S. Tax Compliance Certificate has the meaning specified in Section 3.01(e)(ii)(B)(III).

  • Closing Statement means the Closing Statement in the form on Annex A attached hereto.

  • E-Statement means an electronic version of daily confirms, monthly, quarterly or annual statements, and shareholder tax statements created with investor transaction data housed on DST’s TA2000® mutual fund record keeping system, with images available online via a secure web site.

  • Interim Payment Certificate means a payment certificate issued under Clause 14 [Contract Price and Payment], other than the Final Payment Certificate.

  • Final Payment Statement shall have the meaning set forth in Clause 19.13;

  • Final Payment Certificate means the payment certificate issued under Sub-Clause 14.13 [Issue of Final Payment Certificate].

  • United States Tax Compliance Certificate has the meaning specified in Section 3.01.

  • Release Certificate means a Release Certificate in the form attached to this Appendix "C" as Schedule 2 executed by a duly authorized officer of the Custodian and delivered by the Custodian to the applicable Fund by facsimile transmission or in such other manner as such Fund and the Custodian may agree in writing.

  • Estimated Closing Statement has the meaning set forth in Section 2.4(a).

  • Acceptance Certificate (11/18) means a written instrument by which the City notifies Contractor that a Deliverable has been Accepted or Accepted with exceptions, and Acceptance Criteria have been met or waived, in whole or in part.

  • Closing Date Payment has the meaning set forth in Section 2.04(a)(i).

  • Pricing Certificate means a Pricing Certificate substantially in the form of Exhibit C hereto, properly completed and signed by an Authorized Officer of the Borrower.
