The date, time and place of the transactions contemplated hereunder shall be the day the Operating Partnership receives the proceeds from the Public Offering from the underwriter(s), at 10:00 a.m. in the office of Battle Fowl▇▇ ▇▇▇, 75 E▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇ ▇▇▇▇, ▇▇▇ ▇▇▇▇ ▇▇▇▇▇ (▇▇e "Closing" or "Closing Date").
The term "Closing" or "Closing Date" shall have the meaning ascribed to it in Section 3.1.
The foregoing date is the date on which the Sellers deeds to Buyer are to be recorded immediately prior to the delivery of the Purchase Price to Seller and is referred to in this Agreement as the "Closing" or "Closing Date".
The Closing shall occur on the earlier of: (i) within 15 days after the end of the Due Diligence Period (as hereinafter defined); or (ii) receipt of the consent by the holder of the Existing Loan to the transaction contemplated herein and the assumption by the Buyer of the borrower's obligations under the Existing Loan, (the "Closing" or "Closing Date") at the Seller's office, or at such other time and place as may be mutually agreed upon.
Loan Closing" or "Closing Date" means the earlier of the first date on which all or any part of the proceeds of the Loan are initially disbursed by the Lender to or for the benefit of Borrower.
