Cloud Materials definition

Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

• Customer covenants, on behalf of itself and its successors and assigns, not to assert against Qualtrics and its Affiliates or licensors, any rights, or any claims of any rights, in any Cloud Service, Cloud Materials, Documentation, or Consulting Services.

• Permitted uses and restrictions of the Cloud Service also apply to Cloud Materials and Documentation.

• Analyses will anonymize and aggregate information and will be treated as Cloud Materials.

Cloud Materials means any materials re- lated to SAP Cloud Services produced by or with SAP pursuant to this Agreement or a Cloud Service Order Form.

Cloud Materials means any work product or tangible results produced by or with SAP pursuant to this Agreement, including in the course of providing support, training or configuration services to OEM or its End Users. Work Product includes works created for or in cooperation with OEM or its End Users, but does not include any Data, OEM Confidential Information, Custom Platform Applications or the Cloud Service. For clarity, some SAP services may be performed under a statement of work. If so, the statement of work will be governed by the terms and conditions of this Agreement.

Cloud Materials means the Accedian Systems and any and all other information, documents, materials, works and other content, devices, methods, processes, hardware, software and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans or reports, that are provided or used by Accedian in connection with the Cloud Services or otherwise comprise or relate to the Cloud Services or Accedian Systems. Cloud Materials excludes Customer Systems.
