COBRA Liabilities definition

COBRA Liabilities has the meaning set forth in Section 6.04.
COBRA Liabilities means Liabilities of Sellers with respect to any terminated employees of Sellers pursuant to COBRA.
COBRA Liabilities means any and all liabilities and obligations associated with, or related to, providing COBRA continuation coverage to Seller's employees and former employees, and such employees' and former employees' beneficiaries, who are entitled to receive such continuation coverage.

Examples of COBRA Liabilities in a sentence

  • Any COBRA Liabilities incurred based on any COBRA qualifying event occurring prior July 1, 2016 shall remain an RRD Liability.

  • Any COBRA Liabilities incurred based on any COBRA qualifying event occurring on or after July 1, 2016 that is (A) attributable to the LSC Group Benefits Plan shall be an LSC Communications US, LLC Liability and (B) attributable to the Donnelley Financial Group Benefits Plan shall be a Donnelley Financial, LLC Liability.

More Definitions of COBRA Liabilities

COBRA Liabilities as used herein, shall mean all liabilities and obligations with respect to medical claims incurred from and after the Closing Date with respect to the health care continuation of coverage requirements under Section 4980B of the Code and Sections 601-609 of ERISA.
COBRA Liabilities has the meaning set forth in clause (h) of the definition of Excluded Liabilities.
COBRA Liabilities shall have the meaning set forth in Section 9.4(g).

COBRA Liabilities means all liabilities, losses, costs, damages, claims or expenses relating to or in connection with the continuing medical, health and dental coverage under the GEC Welfare Plan, to the extent that such liabilities, losses, costs, damages, claims or expenses would have been sustained or borne by the Guarantor or the medical health and dental plan maintained by the Guarantor if the Retained Employee had in fact elected to join such plan maintained by the Guarantor immediately after the Completion Date less the premiums generally payable by similar members of such plan.
COBRA Liabilities shall have the meaning ascribed to such term in Section 2.3(a)(viii) hereof.
COBRA Liabilities has the meaning assigned to that term in Section 7.9(e) of this Agreement.
