Collateral Asset definition

Collateral Asset means a commercial loan or bond (or Participation Interest therein) owned or, as set forth in Section 1.04, committed to be acquired or funded, by the Borrower.
Collateral Asset has the meaning specified in Annex C.
Collateral Asset means (i) each Bank Loan (including a First Lien Bank Loan or Second Lien Bank Loan), Senior Secured Bond, Senior Unsecured Bond, Senior Subordinated Bond or Subordinated Bond in each case whether or not given credit in the Borrowing Base or having a positive Advance Rate, (ii) all Cash and Cash Equivalents owned by Borrower and (iii) any other financial assets of the Borrower of any kind.

Examples of Collateral Asset in a sentence

  • Be party to any agreement (other than customary trade-related agreements, contracts with Collateral Asset restructuring advisers or Collateral Asset Documents) under which it has any material obligation or liability (direct or contingent) without including customary “non-petition” provisions substantially similar to Section 10.20(b), other than with the consent of the Administrative Agent.

  • The Borrowers shall direct or authorize the release and delivery of any Collateral Asset other than cash only against Delivery of the sale price, in cash, for such Asset to the Collateral Account.

  • Such Borrower has no Indebtedness other than Indebtedness created or permitted under the Loan Documents including expenses payable in the ordinary course of business, obligations under its Organization Documents or pursuant to customary indemnification, expense reimbursement and similar provisions under the Collateral Asset Documents related to the Collateral Assets.

  • It is not illegal for the Administrative Agent to own such Collateral Asset, and the proceeds of such Collateral Asset will not be used to finance the activities of any marijuana-related business.

  • Direct the underlying administrative agent for each Collateral Asset to send all payments of principal and interest and any other proceeds in respect thereof to the applicable Collateral Account.

Collateral Asset means each or any, as the context may require, of the Identified Assets and Additional Assets over which security is granted to secure Program Debt and, other than for the purposes of Article IV and Section 5.13(a), the Indirect Collateral Assets, but excluding any Collateral Asset which has been sold and which no longer constitutes part of the Collateral, in each case in accordance with this Agreement.
Collateral Asset means any loan, security, cash or other asset owned or held by the applicable Loan Party, in each case whether or not given credit in the Borrowing Base or having a positive Advance Rate.
Collateral Asset means any commercial loan or bond (including Participation Interests therein) that the Borrower funds or acquires from any third party seller or the Transferor, which loan or bond includes, without limitation, (i) the Required Loan Documents and Collateral Asset File, and (ii) all right, title and interest of such third party seller or the Transferor in and to the loan or bond and any Underlying Collateral, but excluding, in each case, the Retained Interest and Excluded Amounts. “Collateral Asset File” means, with respect to each Collateral Asset, a file containing duly executed originals and copies (as identified on the Document Checklist) of any other Records (not otherwise included in the Required Loan Documents) relating to such Collateral Assets and Portfolio Assets pertaining thereto. “Collateral Asset Register” has the meaning assigned to that term in Section 5.03(d). “Collateral Asset Tape” means the loan tape to be delivered in connection with each Collateral Manager Report, Collateral Manager Advance Date Report, on each Borrowing Base Inclusion Date and the date of each Transaction (other than an Addition) (unless otherwise noted below) which loan tape shall include (but not be limited to) the aggregate Outstanding Balance of all Collateral Assets and, with respect to each Collateral Asset, the following information as of the Collateral Asset Tape Cut-off Date:
Collateral Asset means USD 44,000,000 nominal amount of the Floating Rate Notes issued by the Collateral Asset Issuer (ISIN: US225434CG25) which have redeemed on or around 16 August 2011 and accordingly, means USD 0 as of 17 August 2011. For theavoidance of doubt, the Issuer paid the Swap Counterparty an amount equal to the redemption proceeds of the USD 44,000,000 nominal amount of the Floating Rate Notes issued by the Collateral Asset Issuer (ISIN: US225434CG25) on or around 17 August 2011 as a Party B Interim Exchange Amount I pursuant to the Swap Agreement.
Collateral Asset means any commercial loan or bond (including Participation Interests therein) that the Borrower funds or acquires from any third party seller or the Transferor, which loan or bond includes, without limitation, (i) the Required Loan Documents and Collateral Asset File, and (ii) all right, title and interest of such third party seller or the Transferor in and to the loan or bond and any Underlying Collateral, but excluding, in each case, the Retained Interest and Excluded Amounts.
Collateral Asset means the real estate and related improvements described in the Mortgage commonly known as The Great Mall of the Great Plains, Olathe, Kansas.
Collateral Asset means the real estate and related improvements commonly known as Tradition Village Center and more particularly described in Exhibit “A” to the Mortgage.
