Be party to any agreement (other than customary trade-related agreements, contracts with Collateral Asset restructuring advisers or Collateral Asset Documents) under which it has any material obligation or liability (direct or contingent) without including customary “non-petition” provisions substantially similar to Section 10.20(b), other than with the consent of the Administrative Agent.
The Borrowers shall direct or authorize the release and delivery of any Collateral Asset other than cash only against Delivery of the sale price, in cash, for such Asset to the Collateral Account.
Such Borrower has no Indebtedness other than Indebtedness created or permitted under the Loan Documents including expenses payable in the ordinary course of business, obligations under its Organization Documents or pursuant to customary indemnification, expense reimbursement and similar provisions under the Collateral Asset Documents related to the Collateral Assets.

Direct the underlying administrative agent for each Collateral Asset to send all payments of principal and interest and any other proceeds in respect thereof to the applicable Collateral Account.
