Commencement Date Conditions definition

Commencement Date Conditions means and refer to the occurrence of the following:

• Ladies and Gentlemen: Please be advised that Landlord has caused each of the Commencement Date Conditions to occur.

• If (aa) the Commencement Date Conditions are completed prior to Tenant’s exercise of the foregoing termination right, (bb) the Commencement Date Conditions are completed within five (5) days after Tenant’s exercise of the foregoing termination right, or (cc) Tenant shall fail to exercise such termination right within ten (10) days after the Outside Completion Date, then such termination right shall, in any such event, be deemed to have expired and shall, thereafter, be of no further force or effect.

• Landlord shall use commercially reasonable efforts to satisfy the Commencement Date Conditions prior to the Target Commencement Date.

• In the event that the Commencement Date Conditions have not been completed by the Target Commencement Date, subject to extension by virtue of Force Majeure, Landlord shall not be deemed in default hereunder, and the Commencement Date shall be postponed, as Tenant’s sole and exclusive alternative remedies, until the date on which the Commencement Date Conditions have occurred.

• Once and if Landlord completes the Commencement Date Conditions, Landlord and Tenant acknowledge and agree that, by virtue of Landlord’s delivery of the Commencement Date Notice to Tenant, Landlord shall be deemed to have delivered Premises-A and the Pathway to Tenant, and Tenant shall be deemed to have accepted the same.

More Definitions of Commencement Date Conditions

Commencement Date Conditions means and refer (a) to Commencement Date Conditions (A) (as it relates to the occurrence of Commencement Date (A)), and (b) to Commencement Date Conditions (B) (as it relates to the occurrence of Commencement Date (B)).

Commencement Date Conditions has the meaning assigned to such term in Item 4(b) of the Basic Lease Information.

Commencement Date Conditions. (j) With respect to the 1st Floor Tranche 1 Colocation Space will be satisfied upon Supplier’s tender to Customer of delivery of possession of the 1st Floor Tranche 1 Colocation Space and the 1st Floor Pathway with all of the Supplier’s 1st Floor Tranche 1 Installations substantially completed, and upon passage of the Acceptance Tests (if any) that are specified in Schedule “E” attached hereto with respect to the 1st Floor Tranche 1 Colocation Space; (ii) With respect to the 1st Floor Tranche 2 Colocation Space will be satisfied upon Supplier’s tender to Customer of delivery of possession of the 1st Floor Tranche 2 Colocation Space with all of the Supplier’s 1st Floor Tranche 2 Installations substantially completed, and upon passage of the Acceptance Tests (if any) that are specified in Schedule “E” attached hereto with respect to the 1st Floor Tranche 2 Colocation Space; and (iii) With respect to the 1st Floor Tranche 3 Colocation Space will be satisfied upon Supplier’s tender to Customer of delivery of possession of the 1st Floor Tranche 3 Colocation Space with all of the Supplier’s 1st Floor Tranche 3 Installations substantially completed, and upon passage of the Acceptance Tests (if any) that are specified in Schedule “E” attached hereto with respect to the 1st Floor Tranche 3 Colocation Space.

Commencement Date Conditions means the conditions precedent to the occurrence of the Commencement Date, as set forth on Exhibit C attached hereto and made a part hereof.

Commencement Date Conditions has the meaning specified in subsection 6.4(A). “Company” means [ ], a [ ] organized and existing under the laws of the State of [ ], and its permitted successors and assigns.

Commencement Date Conditions mean, and shall be satisfied upon Landlord’s tender to Tenant of delivery of possession of the Datacenter Space and the Pathway with all of the Landlord’s Installations and the Tenant Datacenter Space Installations (to the extent set forth in the Tenant Datacenter Space Installation Plan Documents) Substantially Completed. When the Commencement Date Conditions are Substantially Completed, the Commencement Date shall be memorialized via a written commencement date memorandum delivered by Landlord to Tenant.
