Commercial Sales definition

Commercial Sales means the sale of a product in the stream of commerce at retail or at wholesale, including sales on the Internet.
Commercial Sales means the sale of hemp products in the stream of commerce, at retail, wholesale, and online.
Commercial Sales means sales to private schools, colleges, hospitals, churches and other private educational, cultural, social or religious organizations, business or manufacturing establishments if the water is not used principally in manufacturing or processing functions.

Commercial Sales means, for any applicable period, the amount invoiced for Product sold by Schering-Plough or its Affiliates to unaffiliated parties, exclusive of intercompany transfers.

For the avoidance of doubt, there shall be no Commercial Sale if: (1) Product is used by or on behalf of each of Scinai or its Affiliates for the sole purpose of performing Development; or (2) Product is provided to a third party by each of Scinai or its Affiliates, and used by such third party solely to conduct Clinical Studies with respect to Product; or (3) limited reasonable amounts of Product are used as promotional free samples, free goods, or other marketing programs to induce sales, or for compassionate or similar uses or donations to non-profit organizations, in connection with which Product is supplied without charge, (1) In the event the Product and the other pharmaceutically active ingredient(s) are sold separately during the royalty period in question in the country in question, then Net Sales shall be calculated by multiplying the Net Sales of the Combination Product in such country by the fraction A/(A+B), where A is the average gross selling price of the Product sold separately in the country in question during the royalty period in question, and B is the average gross selling price of the other pharmaceutically active ingredient(s) sold separately in the country in question during the royalty period in question; (2) if, on a country-by-country basis, the other pharmaceutically active ingredient or ingredients in the Combination Product are not sold separately in that country, Net Sales shall be calculated by multiplying the actual Net Sales of such Combination Product by the fraction A/C, where A is the invoice price of the Product if sold separately, and C is the invoice price of the Combination Product.
