Buyer has fully paid any and all commitment fees or other fees required by the Fee Letter and the other Commitment Letters to be paid on or before the Closing Date, and Buyer will pay when due all other commitment and other fees arising under each Fee Letter and the other Commitment Letters as and when they become payable.
