Committed Purchaser definition

Committed Purchaser means each Person listed as such as set forth on the signature pages of this Agreement.

Committed Purchaser means, with respect to a CP Conduit, each Class B Purchaser identified as a Committed Purchaser for such CP Conduit on the signature pages hereto or in the Transfer Supplement or Joinder Supplement pursuant to which such CP Conduit became a party hereto, and any Assignee of such Class B Purchaser to the extent such Assignee has assumed, pursuant to a Transfer Supplement, the Commitment of such Class B Purchaser.

Committed Purchaser means, as to any Purchaser Group, each of the financial institutions listed on Schedule A hereto as a “Committed Purchaser” for such Purchaser Group, or in any Assignment Agreement or Joinder Agreement as a “Committed Purchaser” for the applicable Purchaser Group, together with its respective successors and permitted assigns.

Examples of Committed Purchaser in a sentence

• The amount of the Commitment of the selling Related Committed Purchaser allocable to such Purchasing Related Committed Purchaser shall be equal to the amount of the Commitment of the selling Related Committed Purchaser transferred regardless of the purchase price, if any, paid therefor.

• The Transfer Supplement shall be an amendment hereof only to the extent necessary to reflect the addition of such Purchasing Related Committed Purchaser as a “Related Committed Purchaser” and any resulting adjustment of the selling Related Committed Purchaser’s Commitment.

• Any such assignment by Related Committed Purchaser cannot be for an amount less than $10,000,000.

• Notwithstanding anything herein to the contrary, a CP Conduit may execute this Agreement as both a CP Conduit and a Committed Purchaser and, in such event, such CP Conduit shall have the rights and obligations of both a CP Conduit and a Committed Purchaser set forth herein.

• The entries in the Participant Register shall be conclusive absent manifest error, and such Committed Purchaser shall treat each Person whose name is recorded in the Participant Register as the owner of such participation for all purposes of this Agreement notwithstanding any notice to the contrary.

More Definitions of Committed Purchaser

Committed Purchaser means any Alternate Purchaser or any Non-Conduit Committed Purchaser.

Committed Purchaser means Credit Suisse AG, Cayman Islands Branch, and its successors and assigns.

Committed Purchaser means (A) with respect to each Conduit Purchaser, each Person identified from time to time as a “Committed Purchaser” on Schedule I hereto opposite the name of such Conduit Purchaser and (B) Helaba. For the avoidance of doubt, (x) one identified Person may act as the Committed Purchaser with respect to itself, as a Conduit Purchaser and (y) notwithstanding anything to the contrary contained or implied herein, Helaba shall not have a related Conduit Purchaser.

Committed Purchaser means, with respect to each Ownership Group, each financial institution identified as a “Committed Purchaser” for such Ownership Group on Schedule I hereto or in the applicable Transfer Supplement with respect to such Ownership Group pursuant to which such financial institution becomes a “Committed Purchaser” party hereto.

Committed Purchaser has the meaning set forth in the preamble.

Committed Purchaser means any Purchaser which has a Commitment as set forth in its respective Joinder Supplement and any Assignee of such Purchaser to the extent of the portion of such Commitment assumed by such Assignee pursuant to its respective Transfer Supplement (so long as the Commitments are in effect).

Committed Purchaser means a special purpose company that has committed to purchase a Series of Notes from HVF from time to time and that finances such purchases with, among other things, the proceeds of commercial paper notes issued by such special purpose company.
