Subject to the foregoing, each Party may from time-to-time replace its Managers upon written notice to the other Party and the Committee Chair may be replaced only upon a mutual written agreement of both Parties.
The JSC shall consist of (i) one member designated by LICENSEE to serve as the JSC chair (the “Committee Chair”); and (ii) two representatives from each Party (“Managers") designated by each Party, provided the Parties may agree in writing to a different number of representatives, and the Committee Chair is not also a Manager.
In the event that the Joint Steering Committee does not agree on any such action, decision or other matter within the scope of its responsibility, the Committee Chair shall have the final decision-making authority with respect to such action, decision or other matter.
