Common Share Equivalent definition

Common Share Equivalent shall have the meaning ascribed to it in Section 11(a)(iii) hereof.
Common Share Equivalent means, with respect to any security of the Company and as of a given date, a number which is, (i) in the case of a share of Common Stock, one, (ii) in the case of all or a portion of any right, warrant or other security which may be exercised for a share or shares of Common Stock, the number of shares of Common Stock receivable upon exercise of such security (or such portion of such security), and (iii) in the case of any security convertible or exchangeable into a share or shares of Common Stock, the number of shares of Common Stock that would be received if such security were converted or exchanged on such date.
Common Share Equivalent means, with respect to any security of the Company and as of a given date, a number which is, (i) in the case of a share of Common Stock, one, (ii) in the case of all or a portion of any right, option or other security which may be exercised for a share or shares of Common Stock, the number of shares of Common Stock receivable upon exercise of such security (or such portion of such security), and (iii) in the case of any security convertible or exchangeable into a share or shares of Common Stock, the number of shares of Common Stock that would be received if such security were converted or exchanged on such date.

  • For purposes of this Section 11(a)(iii), the value of the Common Shares will be the Current Per Share Market Price of the Common Shares on the Section 11(a)(ii) Trigger Date and the value of any Common Share Equivalent will be deemed to have the same value as the Common Shares on such date.

Common Share Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Common Shares or any Convertible Security.

Common Share Equivalent means any evidence of indebtedness, shares of stock or beneficial interest (other than Series B-1 Preferred Shares) or other securities which are or may be convertible into or exchangeable for Additional Common Equity ("Convertible Securities"), or any warrant, option or other right to subscribe for any Convertible Securities or for any Additional Common Equity. For purposes of this Section 15.4(f)(ii), the number of Common Equity at any time outstanding shall not include Common Equity held in the treasury of the Company.
