Common Stock Consideration definition

Common Stock Consideration has the meaning set forth in Section 1.6(b).

• From and after the Effective Time, Parent shall pay or cause to be paid, without deduction or withholding from any consideration, including the Common Stock Consideration and the Preferred Stock Consideration, or amounts payable to holders of Company Common Shares or Company Preferred Shares, all Transfer Taxes, except as otherwise provided in Section 2.1(d).

• Until so surrendered, each such Certificate shall represent after the Effective Time, for all purposes, only the right to receive the Common Stock Consideration, the Series C Consideration, the Series D Consideration or the Series E Consideration, as the case may be.

More Definitions of Common Stock Consideration

Common Stock Consideration has the meaning given to that term in Section 2.02(a)(i) of this Agreement.
