Common Stock Election has the meaning set forth in Section 2.1(c)(i)(A).

  • Notwithstanding the foregoing, in the event that the Common Stock Election Threshold is met, Parent shall not be required to file the Certificate of Designation with the Office of the Registrar of Corporations of the Republic of the Marshall Islands.
