Common Stock Offering definition

Common Stock Offering means the sale and issuance for cash by the Corporation to persons other than the Corporation or any of its subsidiaries after the Original Issue Date of shares of Common Stock (other than any such sales and issuances made pursuant to agreements or arrangements entered into, or pursuant to financing plans which were publicly announced, on or prior to the Signing Date).
Common Stock Offering has the meaning set forth in the recitals of this Agreement.
Common Stock Offering means the sale of the Company's Common Stock in a firmly underwritten public offering.

  • As of the date of this Agreement, and without regard to the Class B Common Stock Offering, 11,270,196 shares of Class A Common Stock and 11,330,420 shares of Class B Common Stock are issued and outstanding.
