Such Persons shall be mutually acceptable to the Company and Acquiror and active members of the Company Board as of the Agreement Date through the Effective Time, and shall meet any qualifications under Acquiror’s and Acquiror Bank’s charter documents, board policies, and applicable Legal Requirements, and shall be subject to the approval of Acquiror’s Nominating and Governance Committee.
Notwithstanding anything to the contrary in the foregoing, any action that may be taken by the Company Board under this Section 6.3 may also be taken by a duly constituted committee thereof.
