Company Capitalization Spreadsheet definition

Company Capitalization Spreadsheet means the spreadsheet attached to this Agreement as Schedule 1 as amended pursuant to Section 8.1(f) setting out the outstanding share capital of the Company, including the outstanding Company Common Shares (including the Company Common Shares issuable pursuant to the Company Convertible Debentures, Company Options, Company Warrants, Company Finder Warrants, Company Advisory Warrants, Company Services Agreements and Company Compensation Warrants).
Company Capitalization Spreadsheet means the spreadsheet delivered at Closing setting out the outstanding share capital of the Company, including the issued and outstanding Company Common Shares, Company Options, Company Warrants and Company Debentures, together with the address of record of each such holder.
Company Capitalization Spreadsheet means the spreadsheet within Section 1.1 of the Disclosure Letter, and hereby incorporated herein, setting out the outstanding share capital of the Company, including the outstanding Company Common Shares, Company Options, Company RSUs, Company Warrants and Company Debentures.

  • The authorized share capital of the Company is an unlimited number of Company Common Shares, the number of Company Common Shares issued and outstanding is set out in the Company Capitalization Spreadsheet, each of which is outstanding as a fully paid and non-assessable share in the capital of the Company.

  • Except as set forth in the Company Capitalization Spreadsheet, there are no options, warrants or other rights, shareholder rights plans, agreements or commitments of any character whatsoever requiring the issuance, sale or transfer by the Company of any shares of the Company or any securities convertible into, or exchangeable or exercisable for, or otherwise evidencing a right to acquire, any shares of the Company.

  • Three (3) Business Days prior to Closing, the Company shall deliver the Company Capitalization Spreadsheet to the Purchaser.

  • Except as set forth in the Company Capitalization Spreadsheet, there will be no options, warrants or other rights, shareholder rights plans, agreements or commitments of any character whatsoever requiring the issuance, sale or transfer by the Company of any shares of the Company or any securities convertible into, or exchangeable or exercisable for, or otherwise evidencing a right to acquire, any shares of the Company as of the Effective Time.

Related to Company Capitalization Spreadsheet

  • Company Capitalization means the sum, as of immediately prior to the Equity Financing, of: (1) all shares of Capital Stock (on an as-converted basis) issued and outstanding, assuming exercise or conversion of all outstanding vested and unvested options, warrants and other convertible securities, but excluding (A) this instrument, (B) all other Safes, and (C) convertible promissory notes; and (2) all shares of Common Stock reserved and available for future grant under any equity incentive or similar plan of the Company, and/or any equity incentive or similar plan to be created or increased in connection with the Equity Financing.

  • Consideration Spreadsheet has the meaning set forth in Section 2.16(a).

  • Spreadsheet has the meaning set forth in Section 6.8.

  • Capitalization Date has the meaning set forth in Section 3.2(a).

  • Company Capital Stock means the Company Common Stock and the Company Preferred Stock.

  • Fully Diluted Capitalization means the aggregate number, as of immediately prior to the First Equity Financing, of issued and outstanding shares of Capital Stock, assuming full conversion or exercise of all convertible and exercisable securities then outstanding, including shares of convertible Preferred Stock and all outstanding vested or unvested options or warrants to purchase Capital Stock, but excluding (i) the issuance of all shares of Capital Stock reserved and available for future issuance under any of the Company’s existing equity incentive plans, (ii) convertible promissory notes issued by the Company, (iii) any SAFEs, and (iv) any equity securities that are issuable upon conversion of any outstanding convertible promissory notes or SAFEs.

  • Market Capitalization means an amount equal to (i) the total number of issued and outstanding shares of Capital Stock of the IPO Entity on the date of the declaration of the relevant dividend, multiplied by (ii) the arithmetic mean of the closing prices per share of such Capital Stock for the 30 consecutive trading days immediately preceding the date of the declaration of such dividend.

  • Company Balance Sheet means the consolidated balance sheet of the Company and its Subsidiaries as of December 31, 2016 and the footnotes thereto set forth in the Company’s annual report on Form 10-K for the fiscal year ended December 31, 2016.

  • Debt to Capitalization Ratio means the ratio of (a) Consolidated Funded Debt to (b) Consolidated Capitalization.

  • Total Consolidated Capitalization means, as of any date of determination with respect to the Borrower, the sum of Total Consolidated Debt and Consolidated Net Worth.

  • Company Cash means all cash on hand or on deposit to the credit of the Company on the Closing Date;

  • Capitalization Ratio means, at any date of determination, the ratio of (a) Funded Debt to (b) Capitalization.

  • Capitalization fairly present the information set forth therein on a basis consistent with that of the audited financial statements contained in the Registration Statement.

  • Consolidated Capitalization means, as of any date on which the amount thereof is to be determined, the sum of Consolidated Indebtedness plus Consolidated Net Worth.

  • Fully Diluted Share Number means the aggregate sum of: (i) the number of shares of Company Common Stock issued and outstanding immediately prior to the Effective Time; (ii) the number of shares of Company Common Stock issuable upon the voluntary conversion of all of the shares of Company Preferred Stock issued and outstanding immediately prior to the Effective Time into Company Common Stock and (iii) the number of shares of Company Common Stock issuable upon exercise of all Stock Options.

  • Liquidity Capitalization means the number, as of immediately prior to the Liquidity Event, of shares of the Company’s capital stock (on an as-converted basis) outstanding, assuming exercise or conversion of all outstanding vested and unvested options, warrants and other convertible securities, but excluding: (i) shares of Common Stock reserved and available for future grant under any equity incentive or similar plan; (ii) any SAFEs; and (iii) convertible promissory notes.

  • Total Shareholders’ Equity means, as of any date of determination, the aggregate amount for total common stock equity, preference stock and Preferred Stock as presented in accordance with GAAP on a consolidated balance sheet of the Company as of such date.

  • Parent Balance Sheet means the consolidated balance sheet of Parent as of March 31, 2016 and the footnotes thereto set forth in Parent’s quarterly report on Form 10-Q for the fiscal quarter ended March 31, 2016.

  • Consolidated Capitalization Ratio on the last day of any fiscal quarter, the ratio of (a) Consolidated Total Indebtedness to (b) Consolidated Capital.

  • Estimated Closing Balance Sheet has the meaning set forth in Section 2.6(a).

  • Estimated Closing Date Balance Sheet shall have the meaning set forth in Section 2.3(a) hereof.

  • Company Valuation means $135,000,000.

  • Share Exchange Ratio means the ratio at which the Transferee Bank shares shall be allotted to the Transferor Banks’ shareholders as set out in the Schedule; and

  • Capitalization grant means the federal grant made to this state by the United States environmental protection agency for either of the following purposes:

  • Pro Forma Balance Sheet as defined in Section 4.1(a).

  • Total Capitalization means, on any date, the sum of (a) Total Debt and (b) the Net Worth on such date.
