Company Customer definition
Company Customer means a person or entity for whom the Company or any of its Subsidiaries was providing services either at the time of, or at any time within the twelve (12) months preceding the Termination Date, and for whom the Participant had direct contact with and/or carried out or oversaw a material business responsibility during said twelve (12) month period or about whom the Participant had exposure to or received Confidential Information as a result of the Participant’s employment with the Company or any of its Subsidiaries.
Company Customer is defined as any person, company, or business that to the Employee’s knowledge is or was a customer, client, or investor of the Company, during Employee’s employment with the Company and that Employee contacted, solicited, serviced, had dealings with, or sold products or services to as an employee of the Company.
Company Customer means any individual who (i) is, or was at any time during the one year period prior to the termination of my employment with the Company, a customer, supplier, or vendor of the Company of whom I learned, with whom I had business contact or about whom I obtained Proprietary Information at any time during my employment with the Company, or (ii) is a prospective customer, supplier, or vendor of the Company of whom I learned, with whom I had business contact, or about whom I obtained Proprietary Information as part of a solicitation of business on behalf of the Company at any time during the one year period prior to my termination of employment with the Company.

Because the Company has significant sales and Company Customers in the United States and various countries throughout the world, “Direct Competitor” means a person, business or company providing Competitive Products or Competitive Services anywhere in the United States or in those countries where a Company Customer is located.

Company Customer means a current customer of the Travelers Group with which the Participant had material business-related contact or dealings or access to Confidential Information about during the Look Back Period.
Company Customer means any individual or entity who (i) is, or was at any time during the one year period prior to the termination of the Executive’s employment with the Company, a customer, supplier, or vendor of the Company or its Affiliates of whom the Executive learned, with whom the Executive had business contact or about whom the Executive obtained Confidential Information (as defined above) at any time during the Executive’s employment with the Company, or (ii) is a prospective customer, supplier, or vendor of the Company or its Affiliates of whom the Executive learned, with whom the Executive had business contact, or about whom the Executive obtained Confidential Information as part of a solicitation of business on behalf of the Company or its Affiliates at any time during the one year period prior to the Executive’s employment termination date.
Company Customer shall also include an individual or business to whom a pitch to solicit or secure business or a sale was prepared (even if not yet made) within the 12-month period preceding the end of the Executive’s employment, and with which the Executive had not insignificant involvement in the preparation, or had exposure to specific information developed for that particular pitch.
Company Customer is defined as any Person that Executive contacted, solicited, serviced or had access to Confidential Information about during the last two years of and in the scope of his employment with the Company. “Solicit” is defined as soliciting, inducing, attempting to induce, or assisting any other Person, whether direct or indirect, in any such solicitation, inducement or attempted inducement, in all cases regardless of whether the initial contact was by Executive, the Company, Customer or any other Person. Company Customers that would be subject to this prohibition include but are not limited to those customers listed from time to time on one or more amendments to this Agreement, although the failure to list or identify any Company Customer does not limit the application of this provision.
Company Customer means any person or entity (i) with which Executive had business-related contact of any kind (including, without limitation, in person, by phone, or in writing) on behalf of the Company during the one (1) year immediately prior to Executive’s termination of employment; or (ii) who is a person or entity about which Executive learned or had access to information about that is not publicly known during the twelve (12) months immediately prior to Executive’s termination of employment; or (iii) who is a person or entity (including vendor or supplier) the Company has a contractual relationship with during the twelve (12) months immediately prior to Executive’s termination of employment and with which Executive had business-related contact on behalf of the Company or about which Executive learned or had access to any information about that is not publicly known. “Company Customer” does not include persons or entities who ceased doing business with the Company for reasons unrelated to a breach of this Agreement by or other wrongful act of the Executive or by others who were under the direction of Executive.
Company Customer means any Person that Executive contacted, solicited, serviced, and/or had access to Confidential Information about, during the Employment Period.
Company Customer in Section 7(c) shall be modified to cover only those customers or other key relationships with respect to which the Participant would have been provided trade secret information during the Look Back Period. The Participant stipulates that the Employee Non-Solicitation Conditions and Customer Non-Solicitation Condition in Sections 7(b) and 7(c) are reasonable and necessary for the protection of trade secrets within the meaning § 8-2-113(2)(b) (the “Colorado Noncompete Act”).
