Company Holder definition

Company Holder means a Company Stockholder or Company Warrantholder.
Company Holder has the meaning set forth in the Preamble.
Company Holder means each of the wholly owned subsidiaries of the Company party to the CEI Unit Purchase Agreement and Subscription Agreement or its respective eligible transferees, so long as such Person holds Registrable Securities.

Examples of Company Holder in a sentence

  • A) Upon the written request of the Company, Holder agrees that, in the event of an Acquisition that is not an asset sale and in which the sole consideration is cash, either (a) Holder shall exercise its conversion or purchase right under this Warrant and such exercise will be deemed effective immediately prior to the consummation of such Acquisition or (b) if Holder elects not to exercise the Warrant, this Warrant will expire upon the consummation of such Acquisition.

  • By its execution below and for the benefit of the Company, Holder hereby restates each of the representations and warranties in Section 4 of the Warrant to Purchase Stock as of the date hereof.

  • If Warrant Shares were issued to Holder prior to Holder’s rescission notice, upon return of payment from the Company, Holder will, within three (3) days of receipt of payment, commence procedures to return the Warrant Shares to the Company.

  • A) Upon the written request of the Company, Holder agrees that, in the event of an Acquisition in which the sole consideration is cash, either (a) Holder shall exercise its conversion or purchase right under this Warrant and such exercise will be deemed effective immediately prior to the consummation of such Acquisition or (b) if Holder elects not to exercise the Warrant, this Warrant will expire upon the consummation of such Acquisition.

More Definitions of Company Holder

Company Holder is defined in the Preamble to this Agreement.
Company Holder means the Company Members and the holders of Company Options.
Company Holder means each holder of Vested Options, Cash-Out Warrants or shares of Company Capital Stock that are issued and outstanding immediately prior to the Effective Time and each recipient of cash and/or Parent ADSs under the Company Liquidity Bonus Plan.
Company Holder means the Company Stockholders together with the Company Optionholders entitled to Merger Consideration and included on the Merger Consideration Spreadsheet pursuant to Section 2.7(c).
Company Holder means a holder of: (i) Company Capital Stock or (ii) Vested Company Stock Options, in each case, as of immediately prior to the Effective Time (other than a holder of Dissenting Shares).
Company Holder means each Person who is a holder of capital stock of the Company at the Effective Time and each Person who is a holder of a Company Option that is converted immediately prior to the Effective Time into a Participation Right pursuant to Section 2.2.
