Company Investment definition

Company Investment means any investment made by the Company or any derivative instrument or other investment made by the Company.
Company Investment has the meaning set forth in Section 4.02(b).
Company Investment means an investment that is comprised of $10,000 invested in shares of the Company’s common stock (assuming such investment were made on the Effective Date based upon the Market Value of such shares of common stock as of the Effective Date).

More Definitions of Company Investment

Company Investment means the Post-Signing Company Investment and the Pre-Signing Company Investment, together.
Company Investment means the total value of all Subject Securities held by an Investor or by all Investors in the Company valuing the Series A Preferred Stock at its Liquidation Amount (as defined in the Articles Supplementary) plus accrued and unpaid dividends and valuing any Converted Shares at their Conversion Price (as defined in the Articles Supplementary).
Company Investment means an investment made by the Company, which may include any of the following (i) forward purchase contracts with respect to Portfolio Company Securities, or other securities that contemplate the delivery of Portfolio Company Securities in the future, (ii) Portfolio Company Securities issued directly to the Company, (iii) securities convertible into or exchangeable for shares of Portfolio Company Securities, or (iv) holding companies, funds, special purpose vehicles, or other entities that own any of the instruments mentioned in (i), (ii), or (iii) above. Portfolio Company Securities may be purchased from existing holders of Portfolio Company Securities in private secondary transactions, or from the Portfolio Company in a primary issuance or from a company-facilitated tender offer.

Company Investment means Company (or Company Affiliate) has incurred, paid and expended at least at least Eleven Million Five Hundred Eighty-Five Thousand Dollars ($11,585,000.00) in Eligible Costs for the design and construction of the Phase 1 Infrastructure. For purposes of this Agreement, Company Investment includes Eligible Costs incurred by Company Affiliates or others in the design and construction of Infrastructure and Public Infrastructure for townhome development on behalf of Company.
Company Investment means an entity in which the Company or any Company Subsidiary has a direct or indirect ownership of (i) capital stock, bonds, debentures, partnership, membership interests or other ownership interests or other securities of any Person; (ii) any deposit with or advance, loan or other extension of credit (including the purchase of property from another Person subject to an understanding or agreement, contingent or otherwise to resell such property to such other Person) to any other Person; (iii) any revenue or profit interests pursuant to any agreement or license; or (iv) any agreement, commitment, right, understanding or arrangement with respect to any of the items referred to in (i), (ii) or (iii) of this definition.

  • Special Purpose Investment Personnel means each SEI Access Person who, in connection with his or her regular functions (including, where appropriate, attendance at Board meetings and other meetings at which the official business of a Trust or any Fund thereof is discussed or carried on), obtains contemporaneous information regarding the purchase or sale of a Security by a Fund. Special Purpose Investment Personnel shall occupy this status only with respect to those Securities as to which he or she obtains such contemporaneous information.
