Company IP Contract definition

Company IP Contract means any Contract to which the Company is a party or by which the Company is bound, that contains any assignment or license of, or covenant not to assert or enforce, any Intellectual Property Right or that otherwise relates to any Company IP or any Intellectual Property developed by, with, or for the Company.

Examples of Company IP Contract in a sentence

• Company IP Contract" shall mean any Contract to which any of the Acquired Corporations is or was a party, or by which any of the Acquired Corporations is or was bound, that (i) contains any assignment or license of, or any covenant not to assert or enforce, any Intellectual Property Right or (ii) otherwise relates to any Company IP or any Intellectual Property developed by, with or for any of the Acquired Corporations.

• The Company has provided to Parent a complete and accurate copy of each standard form of Company IP Contract used by the Company at any time, including each standard form of (a) employee agreement containing any assignment or license of Intellectual Property Rights; (b) consulting or independent contractor agreement containing any intellectual property assignment or license of Intellectual Property Rights; and (c) confidentiality or nondisclosure agreement.

• None of the Company IP Contracts requires the Company to return or refund any amounts paid to it, or grant any credit to any third party, or pay any liquidated damages or penalties in the event of any breach of any warranty or any failure of the Company to perform under such Company IP Contract.

More Definitions of Company IP Contract

Company IP Contract means any Contract with any other Person to which the Company or any Company Subsidiary is party, or by which the Company or any Company Subsidiary is bound, that contains any license of, or covenant not to assert or enforce, any Intellectual Property Rights or rights in or to Technology.

Company IP Contract means any Company Contract that contains any assignment or license of, or any covenant not to assert or enforce, any Company IP.

Company IP Contract means any Contract to which the Company is a party and pursuant to which (i) the Company has granted a license (including any sublicense) under Company Intellectual Property to any third Person, or any option with respect thereto, or (ii) any third Person has granted a license (including any sublicense) to the Company to any Company Intellectual Property; provided that Company IP Contracts shall not include (A) “shrink wrap” and similar off-the-shelf software licenses or (B) other non-material agreements and licenses ancillary to the purchase or use of equipment, reagents or other materials.

Company IP Contract means any Contract to which the Company or any Subsidiary is a party or by which the Company or any Subsidiary is bound, that contains any assignment or license of, or any covenant not to assert or enforce, any Company IP or any Intellectual Property Rights exclusively licensed to the Company.
