Examples of Company Leases in a sentence
The Company or a Company Subsidiary has a good and valid leasehold interest in or contractual right to use or occupy, subject to the terms of the applicable Company Lease, each real property subject to the Company Leases necessary for the conduct of the business of the Company and the Company Subsidiaries as currently conducted, free and clear of all Liens, other than Permitted Liens.
Section 3.14 of the Company Disclosure Schedule sets forth a complete and correct list of each and every of the Company’s Contracts currently in effect, pursuant to which the Company either pays or receives an amount in excess of $100,000 a year (collectively, and together with the Company Leases, such items required to be described are referred to as the “Company Major Contracts”).
The Company Leases grant leasehold estates free and clear of all Encumbrances (except Permitted Encumbrances) granted by or caused by the actions of the Company.
Neither the Company nor any of the Company Subsidiaries has received written notice from the lessor or sublessor under any of the Company Leases asserting that the Company or any of the Company Subsidiaries is in material breach of the terms of any of the Company Leases, and to the Knowledge of Seller no such breach exists.
