Company Personal Data means Personal Data Processed by Service Provider on behalf of Company.

  • Vendor shall ensure that its employees, agents, subcontractors, and sub-processors are subject to a duty of confidentiality with respect to Company Personal Data.

  • Upon receiving notice from Vendor in accordance with this subsection, Company may direct Vendor to take reasonable and appropriate steps to stop and remediate unauthorized use of Company Personal Data.

  • Further, Vendor shall ensure that Vendor’s subcontractors or sub- processors who Process Company Personal Data on Vendor’s behalf agree in writing to the same or equivalent restrictions and requirements that apply to Vendor in this U.S. State DPA and the Agreement with respect to Company Personal Data, as well as to comply with the applicable U.S. State Privacy Laws.

  • Vendor may retain Company Personal Data to the extent required by law but only to the extent and for such period as required by such law and always provided that Vendor shall ensure the confidentiality of all such Company Personal Data.

  • For the purposes of the Agreement and this U.S. State DPA, Company is the Party responsible for determining the purposes and means of Processing Company Personal Data as the Controller and appoints Vendor as a Processor to Process Company Personal Data on behalf of Company for the limited and specific purposes set forth in Annex 1 of the DPA.


More Definitions of Company Personal Data

Company Personal Data means Personal Data relating to employees, directors or customers of the Company or its Associated Company and any other Personal Data for which the Company is a Data Controller and which is actually Processed by the Contractor in providing the Services to the Company in accordance with the Services Agreement or on the instructions of the Company;
Company Personal Data includes: (a) Personal Data (defined in Section 3.5(a)) obtained by Supplier from Company; (b) Personal Data (from whatever source) being “Processed” by Supplier on behalf of Company; and
Company Personal Data means any personal data, as defined in the PDPA, collected by the Vendor for the purposes of the Contract; or by the Company and/or its related corporations, their agents and representatives, and third party service providers, and disclosed to the Vendor for the purpose of the Contract.
Company Personal Data means any Personal Data Processed by the Processor or a Subprocessor on behalf of the Company pursuant to or in connection with the Agreement, and may include, for example, Personal Data of Company's employees, clients, customers, creditors, equity interest holders, or counter-parties;
Company Personal Data is defined in Schedule 7.
Company Personal Data means any information relating to an identified or identifiable natural person that (i) is obtained by Parent or any of its Affiliates from the Company or any of its Affiliates or Representatives, (ii) is processed by Parent or any of its Affiliates on behalf of the Company or any of its Affiliates, (iii) pertains to the personnel of the Company or any of its Affiliates, or (iv) is created by Parent or any of its Affiliates based on information of the types referred to in any of clauses (i), (ii) or (iii) above.
Company Personal Data means any Personal Data Processed by TD on Company’s behalf when TD is acting as a Processor/Service Provider to Company.
