The Company has all requisite corporate power and authority to own, operate, lease and encumber its properties and carry on its business as described in the Company Prospectus (as hereinafter defined), and to enter into this Agreement and to perform its obligations hereunder.
The selected financial data included in the Company Prospectus present fairly the information shown therein and have been compiled on a basis consistent with that of the audited consolidated financial statements included or incorporated by reference in the Company Registration Statement.
The Company will furnish to each Underwriter, without charge, during the period when the Company Prospectus is required to be delivered under the 1933 Act or the 1934 Act, such number of copies of the Company Prospectus (as amended or supplemented) as such Underwriter may reasonably request.

If the Company does not receive the minimum amount of $40,000 within 180 days of the effective date of the Company Prospectus, or within an additional 90 days, if the Company extends the offering period, all Funds will be promptly returned to the Purchasers acquiring shares in this Offering without a deduction of any kind.
