For purposes of this Section 8, the term "Derived Information" means such portion, if any, of the information delivered to the Companies pursuant to Section 8(D) for filing with the Commission on Form 8-K as: (i) is not contained in the Prospectus without taking into account information incorporated therein by reference; and (ii) does not constitute Company-Provided Information.
If, but only if, all Company-Provided Information and all Seller-Provided Information is accurate and complete in all material respects, the references to "written information furnished to the Company" in Sections 8(a) and 8(b) of this Agreement shall be deemed to include any Derived Information contained in a Form 8-K relating to the Certificates filed by the Seller with the Commission.
