Company PSU Award definition

Company PSU Award means an award of restricted share units granted pursuant to a Company Share Plan that is subject to performance-based vesting conditions.

Company PSU Award means each award of restricted stock units with respect to Shares granted under the Company Equity Plans that vest based on the achievement of predetermined performance goals.

Company PSU Award means a performance stock unit award granted pursuant to the Company Equity Plan.

Examples of Company PSU Award in a sentence

• From and after the Effective Time, the holder of any canceled Company PSU Award shall be entitled to receive only the PSU Award Payment in respect of such canceled Company PSU Award.

• Payments to holders in respect of each Company Option, Company RSU Award and Company PSU Award (collectively, the “Company Equity Awards”) shall be paid through the Company’s or the Surviving Corporation’s applicable payroll procedures following the Effective Time at such time as such awards are payable.

• Prior to the Effective Date, the Company shall take all actions required to enable the cancellation of each Company PSU Award in accordance with the preceding sentence.

• The number of shares of SpinCo Common Stock subject to such SpinCo PSU Award shall be equal to the product obtained by multiplying (A) the number of shares of Company Common Stock subject to the Company PSU Award immediately prior to the Distribution Time by (B) the Distribution Ratio, and rounding such product down to the nearest whole share.

• Each Assumed PSU Award shall continue to have, and shall be subject to, the same terms and conditions as applied to the corresponding Company PSU Award (other than performance-based vesting conditions) immediately prior to the First Effective Time (including any terms and conditions relating to accelerated vesting on a termination of the holder’s employment in connection with or following the Merger).

More Definitions of Company PSU Award

Company PSU Award means each award of performance-based restricted stock units with respect to shares of Company Common Stock granted under a Company Incentive Award Plan which is outstanding immediately prior to the Effective Time.

Company PSU Award has the meaning set forth in Section 1.5(b)(ii).

Company PSU Award means any award of restricted stock units (or the portion of such award, as applicable) with respect to Company Common Stock which was granted pursuant to a Company Stock Plan and as of immediately prior to the Closing Date, is subject to vesting based on the achievement of any performance goals or market-based conditions.

Company PSU Award means each performance share award in respect of a share of Common Stock. “Company Real Property” has the meaning set forth in Section 4.17(e).

Company PSU Award means each performance share or performance share unit award covering shares of Company Common Stock and granted by the Company.

Company PSU Award has the meaning set forth in Section 3.03(b).

Company PSU Award has the meaning given to such term in the Employee Matters Agreement.
