The Company has all requisite corporate power and authority and has taken all corporate action necessary (including approval by the Company Board (acting on the recommendation of the Company Special Committee)) to execute, deliver and perform its obligations under this Agreement in accordance with the terms hereof and no other corporate action by the Company or vote of holders of any class of the capital stock of the Company is necessary to approve and adopt this Agreement.
Notwithstanding any provision to the contrary, no amendment or waiver of any provision of this Agreement shall be made by the Company or the Company Board without first obtaining the approval of the Company Special Committee.
The Company Special Committee shall direct enforcement by the Company of any provisions of this Agreement against the Stockholder.
The Company has made available to Parent a true, correct and complete copy of the engagement letter with the Company Special Committee Financial Advisor.
