Company Works definition
Company Works shall have the meaning set forth in Section 10.2(b) hereof.
Company Works means all Works authored, originated, conceived, written or made by the Executive alone or with others (except only those Works which are authored, originated, conceived, written or made by the Executive wholly outside the course of his employment).
Company Works means, collectively, all Catalog Masters, Audiovisual Works, Recording Artwork, and Material.

All right, title and interest in the Company Works, whether or not used by the Company, shall, from the inception of development, be exclusively and perpetually the property of the Company, free of any claim whatsoever by any Radz Party or any third party deriving any rights from such Radz Party.
Each Radz Party hereby irrevocably assigns, and agrees to assign, to the Company all right, title and interest in and to all copyrightable Company Works to the extent not so deemed a “work made for hire” and all other Company Works, on a worldwide basis, including all worldwide Intellectual Property rights with respect thereto.
Each Radz Party waives any and all moral rights with respect to the Company Works to the fullest extent permitted under applicable law.
All copyrightable Company Works shall be deemed “works made for hire” within the meaning of the U.S. Copyright Act, and ownership of all right, title, and interest therein shall vest in the Company.
More Definitions of Company Works
Company Works means the scope of work rendered by the Company and includes:
1.1.3.1 any business transaction and/or requested services to be rendered by the Company as requested by the Customer;
1.1.3.2 purchase orders (including its annexes);
1.1.3.3 quotations;
1.1.3.4 invoices;
1.1.3.5 email and/or other written documents between the Company and the Customer; and
1.1.3.6 any and all oral instructions, advices or guidance duly accepted by the Company.
Company Works means Intellectual Property that (i) is authored, created, made, conceived or reduced to practice by any Radz Party during the provision of services to any member of the Company Group, whether solely or jointly with others, and whether prior to or after the effective date of this Agreement, and (ii) relates to the current or demonstrably anticipated business, research, or development of the Company Group or is authored, created, made, conceived or reduced to practice within the scope of the services to be provided hereunder, on Company Group time, or with the aid, assistance, or use of any of the Company Group’s property, equipment, facilities, supplies, resources, or Intellectual Property, or is the result of or relates to any work, services, or duties performed by any Radz Party for the Company Group.
Company Works means all works, within the meaning of the United States Copyright Act, that were or are created for or by any Company employee within the scope of such Company employee’s employment by Company, including any works created, in whole or in part, by Executive within the scope of Executive’s employment by Company or which relate to the business of Company, or any works assigned to Company.
Company Works means any and all inventions, discoveries, innovations, improvements, software, designs, mask works, works of authorship or other creations of any kind conceived, identified, discovered or created by the Executive (a) during the term of employment, either alone or in collaboration with any other person inside or outside the Company that is related to the Business or (b) with Company resources, in each case including, without limitation, (w) all intangible and intellectual property rights embodied therein; (x) all rights of privacy, performance rights, rights of publicity, rights of attribution and integrity, and other moral rights embodied therein or associated therewith; (y) all rights of priority thereto; and (z) all rights to apply for statutory protection thereof and to sue for relief of infringement thereof.
Company Works means any of the following, used directly or indirectly by COMPANY in providing and/or performing Edge ADN Service, in any form or media: (a) formulae, algorithms, processes, procedures and methods; (b) designs, ideas, concepts, research, discoveries, inventions (whether or not patentable or reduced to practice) and invention disclosures; (c) know-how, trade secrets and proprietary information and methodologies; (d) technology; (e) computer software (in both object and source code form); (f) databases; (g) expressions, works and factual and other compilations; (h) protocols and specifications;
Company Works means all works authored, originated, conceived, written or made by the Executive alone or with others including documents, records, databases, designs, innovations, inventions, improvements, processes, trademarks and trade names (except only those works which are legally authored, originated, conceived, written or made by the Executive wholly outside the course of his employment).
