Company Works definition

Company Works shall have the meaning set forth in Section 10.2(b) hereof.
Company Works means all Works authored, originated, conceived, written or made by the Executive alone or with others (except only those Works which are authored, originated, conceived, written or made by the Executive wholly outside the course of his employment).
Company Works means any and all inventions, discoveries, innovations, improvements, software, designs, mask works, works of authorship or other creations of any kind conceived, identified, discovered or created by the Executive (a) during the term of employment, either alone or in collaboration with any other person inside or outside the Company that is related to the Business or (b) with Company resources, in each case including, without limitation, (w) all intangible and intellectual property rights embodied therein; (x) all rights of privacy, performance rights, rights of publicity, rights of attribution and integrity, and other moral rights embodied therein or associated therewith; (y) all rights of priority thereto; and (z) all rights to apply for statutory protection thereof and to sue for relief of infringement thereof.

Examples of Company Works in a sentence

  • Any copyrightable work falling within the definition of Company Works shall be deemed a “work made for hire” as such term is defined in 17 U.S.C. § 101.

  • If Executive creates any written records (in the form of notes, sketches, drawings, or any other tangible form or media) of any Company Works, Executive will keep and maintain same.

  • Executive hereby assigns all right, title and interest in and to all Company Works to the Company and its Subsidiaries and waives any moral rights he may have therein, without further obligation or consideration.

  • The Executive agrees not to use any Company Works for the Executive’s personal benefit, the benefit of a competitor, or for the benefit of any person or entity other than the Company.

  • Executive agrees to keep and maintain adequate and current written records (in the form of notes, sketches, drawings, and any other form or media requested by the Company) of all Company Works.


More Definitions of Company Works

Company Works means all works authored, originated, conceived, written or made by the Executive alone or with others including documents, records, databases, designs, innovations, inventions, improvements, processes, trademarks and trade names (except only those works which are legally authored, originated, conceived, written or made by the Executive wholly outside the course of his employment).
Company Works means, collectively, all Catalog Masters, Audiovisual Works, Recording Artwork, and Material.
Company Works means all Works authored, originated, conceived, written or made by you alone or with others (except only those Works which are authored, originated, conceived, written or made by you wholly outside the course of your employment);
Company Works means any and all inventions, discoveries, innovations, improvements, software, designs, mask works, works of authorship or other creations of any kind ("collectively "Creations") conceived, identified, discovered or created by Employee during the term of employment (whether or not "on the job" or "on Company time"), in whole or in part, and whether alone or in collaboration with any other person(s) inside or outside the Company, where such Creations are in any way, directly or indirectly, related to the business of Company or any of its affiliates. Company Works shall further include, without limitation:

Company Works means any item of authorship, inventions, intellectual property, materials, documents or other work product (including without limitation, research, reports, software, databases, systems, applications, presentations, textual works, content, or audiovisual materials) created, invented, designed, developed, contributed to or improved by a Participant, either alone or with third parties, at any time during such Participant’s employment by or service to the Company and within the scope of such employment or service and/or with the use of any resources of the Company Group.
Company Works means any item of authorship, inventions, intellectual property, materials, documents or other work product (including without limitation, research, reports, software, databases, systems, applications, presentations, textual works, content, or audiovisual materials) created, invented, designed, developed, contributed to or improved by the Restricted Party, either alone or with third parties, at any time during the Restricted Party’s employment by or service to the Company and within the scope of such employment or service and/or with the use of any resources of the Company Group.
