Competing Offer definition

Competing Offer means a Tender Offer for Units which (i) is Commenced prior to the expiration of the Offer by a Person that is not an Affiliate (or in the case of Waltxx Xxxeet, as to its Associates only) of any Partner and (ii) has a cash purchase price per Unit that is at least 2% (10% with respect to the first Competing Offer made following the Offer by the Partnership)
Competing Offer means any offer, proposal or expression of interest by any person other than the Offeror involving:
Competing Offer means a competing offer comprised by section 25(1) of the Danish Takeover Order.

Examples of Competing Offer in a sentence

  • In the event that Agent does not provide written confirmation to Borrower within five (5) business days from receiving a Notice of Competing Offer, this shall be construed as Agent's inability to provide a Loan to Borrower under equal or better Loan Terms as those indicated in the Notice of Competing Offer, and Borrower shall be released from its obligations under this Agreement.

  • Upon Borrower's delivery of the Notice of Competing Offer to Agent, Agent shall have five (5) business days to provide written confirmation of Agent's ability to provide a Loan to Borrower under equal or better Loan Terms than those indicated in the Competing Offers.

  • If a Competing Offer has been Commenced, then the Managing General Partner may increase the purchase price of the Offer from time to time to an amount agreed to by all of the Partners.

  • The provisions of the previous sentence shall not apply to any Competing Offer, if at any time during the last 5 days prior to expiration of the Partnership's Offer at least 17 1/2% of the outstanding Units have been validly tendered to the Partnership and not withdrawn.

  • The Purchaser may only waive clause 22 if he has been granted unconditional bond finance by a registered financial institution, or is able to within 3 (three) days after having received the Competing Offer, deliver guarantees for the full purchase price.
