During the Restricted Period, the Executive shall not, without the prior written consent of the Board acting reasonably, directly or indirectly, perform Competitive Duties or Prohibited Work for a Competing Business in any Capacity within the Restricted Territory.
Personnel not engaged in Competitive Duties as defined above shall use the NCD Confidentiality Agreement.
Those obligations include (but are not limited to) the limitations on use of Confidential Information in Section 5 and the obligations of confidentiality under Section 4 (including the commitment that I do not engage in Competitive Duties, as defined in that Section), which continue indefinitely under Section 10 even if the Agreement expires or terminates.
