The Executive hereby agrees that, if, during the three-month period after the Executive has provided notice of termination to the Company or prior thereto, the Executive enters (or has entered into) a written agreement to perform Competing Activities for a Competitive Enterprise, such action shall be deemed a violation of Section 9(b).
Except for the foregoing, each Manager or Member may engage or invest in any other type of business or activity of any type or description which does not constitute a Competitive Enterprise.
