The most recent Interim Compliance Certificate delivered to the Administrative Agent (if any) pursuant to Section 6.03, is accurate and not misleading in any material respect as of the date of such Interim Compliance Certificate.
If such Appraisal Valuation results in a decrease of the Net Asset Value of an Eligible Investment subject to such Appraisal by five percent (5%) or more, such Appraisal Valuation shall be binding for all purposes of this Agreement until the Administrative Agent receives a new Appraisal Valuation in accordance with clause (c) hereof or a Compliance Certificate in accordance with this Agreement (which, for the avoidance of doubt, shall account for the Appraisal Valuation).

Any reference to the Net Asset Value, the Borrowing Base or Aggregate Net Asset Value being calculated on a pro forma basis will be calculated based on the most recently delivered Compliance Certificate, Interim Compliance Certificate, Borrowing Base Certificate or Appraisal Valuation (if applicable) pro forma for the matters specified herein.
The Borrower must deliver to the Facility Agent a Hedging Protocol Compliance Certificate (as defined in the Hedging Protocol) within 30 days of each Assessment Date in accordance with the Hedging Protocol.
