If the Tax Credit Compliance Fee is not paid in any year it shall not accrue for payment in subsequent years.
The Tax Credit Compliance Fee shall be payable from Net Operating Income in the manner and priority set forth in Section 11.1 of this Agreement upon completion and delivery of the annual audit pursuant to Section 14.2(a) of this Agreement.
