Conflicted Member definition
Conflicted Member means a Member that is, or has an Affiliate that is, the counterparty to an Affiliate Contract or that otherwise has a conflict of interest with the Company or any of its Subsidiaries with respect to an Affiliate Contract.
Conflicted Member has the meaning set forth in Section 5.4(a).
Conflicted Member means, with respect to an Affiliate Contract, a Member that is (or has an Affiliate that is) the counterparty of the Company or any of its Subsidiaries under such Affiliate Contract.

Neither the Company nor any Subsidiary of the Company shall take any action in respect of, and neither the Board of Directors nor any Member shall approve, a Related Party Matter without the prior approval of each Member that is not a Conflicted Member (each, a “Non-Conflicted Member”) and that holds, together with its Affiliates, a Proportionate Interest of at least 10%.
