Consent Fee definition

Consent Fee means, with respect to an: (a) Earlybird Creditor, an amount equal to: (i) the Consenting Claims of that Earlybird Creditor as of the Voting Record Date; divided by (ii) the aggregate Consenting Claims of all Earlybird Creditors as of the Voting Record Date; and multiplied by (iii) an amount equal to 2% of the Senior Claims as of the Allocation Record Date; and (b) Eligible Consenting Creditor, an amount equal to: (i) the Consenting Claims of that Eligible Consenting Creditor as of the Voting Record Date; divided by (ii) the aggregate Consenting Claims of all Eligible Consenting Creditors as of the Voting Record Date; and multiplied by (iii) an amount equal to 1% of the Senior Claims as of the Allocation Record Date.
Consent Fee means any fee paid to the Holders of any Series of Notes in connection with their review and/or approval of proposed amendments of this Indenture or any other matter requiring their consent, whether by a Required Majority of such Series or by all Holders of such Series, as such fee may be approved in accordance with Section 5.02(d), provided that the aggregate amount of such fee paid in connection with any such review and/or approval shall not exceed an amount equal to the product of (a) the Outstanding Principal Balance of such Series of Notes as of the date such fee is to be paid and (b) 0.001.

Examples of Consent Fee in a sentence

  • For the avoidance of doubt, no Consent Fee shall be payable to any Lender that does not consent to this Agreement prior to the Deadline.

  • The Agent does not administer the Consent Fee and is not involved in or in any way responsible for the Consent Fee.

  • If the Consent Fee is not paid to the Consenting Holders in accordance with the terms and conditions of the Consent Solicitation, this Supplemental Indenture shall be null and void.

  • The Issuer shall be under no obligation to pay the Consent Fee in the event the Issuer no longer wishes to give effect to the Proposed Amendments.

  • Please note that this means that a Bondholder that has voted in the Written Procedure but is not registered in the debt register as a direct registered owner or authorised nominee with respect to one or several Bonds on the Consent Fee Record Date will not be entitled to the Consent Fee.

Consent Fee has the meaning specified in Section 7.2(b).

Consent Fee means a payment in cash to the tabulation agent appointed by the Company for such purpose for the benefit of the Consenting Noteholders equal to $1.75 for each $1,000 principal amount at maturity of the Securities for which consents were delivered by each such Consenting Noteholder and accepted by the Company.
