Contingent Warrant definition

Contingent Warrant has the meaning set forth in Section 2.3(b).

Contingent Warrant means that certain Warrant to Purchase Common Stock of Blue Bird Corporation dated December 7, 2023 between Blue Bird Corporation and the Investor pursuant to which the Investor is entitled to purchase up to 333,333 shares of common stock of Blue Bird Corporation.

Contingent Warrant shall have the meaning given such term in the ------------------ Warrant.

Examples of Contingent Warrant in a sentence

• In the event of any conflict between the provisions of this document and the provisions of the Contingent Warrant Agreement, the provisions of this document shall govern.

• Upon any such registration of Transfer, a new Warrant in substantially the form of this Contingent Warrant, shall be issued to the transferee.

• Subject to the foregoing provisions and to Section 4, this Contingent Warrant, if properly Transferred, may be exercised by the transferee without first having a new Warrant issued.

• All capitalized terms not otherwise defined herein shall have the definitions set forth in the Glossary of Defined Terms attached to the Purchase Agreement, which definitions are, to the extent applicable, incorporated in this Contingent Warrant by reference.

More Definitions of Contingent Warrant

Contingent Warrant means the warrant to purchase shares of Common Stock which shall be issued by the Company to the Purchaser if (i) the Company does not draw the full $2,000,0000 principal amount available under the Note, and (ii) the Note has not been prepaid by July 1, 2008.
