Continuing Agreements means the agreements that will be assumed, ratified, or reinstated pursuant to section 5.01 of the Restructuring Agreement and any agreements entered into by any Delphi-Related Party and/or Delphi Affiliate Party, on the one hand, and any GM Related Party, on the other hand, after October 8, 2005.

(formerly known as, “McDermott Technology, Inc.”); (b) any agreement (including any Consent Decree) relating to any of RemainCo Specified Liabilities, the Apollo/Parks/SLDA Sites, or the Apollo/Parks/SLDA Litigation to which Atlantic Richfield Company is a party; (c) any agreement, document or instrument (other than any Ancillary Agreement or other agreement referenced in sections (a), (b), (d), or (e) of this definition of Continuing Agreements) that is entered by both a member or members of the SpinCo Group and a member or members of the RemainCo Group, in anticipation of, in connection with or in furtherance of the aims of the Separation or the Distribution (including agreements to transfer assets or assign contracts) other than any provisions thereof that provide for indemnification or allocation of liabilities to the extent such provisions are inconsistent with the indemnification provisions of this Agreement or the intent that members of the SpinCo Group (and not members of the RemainCo Group) will be responsible for the SpinCo Liabilities and members of the RemainCo Group (and not members of the SpinCo Group) will be responsible for the RemainCo Liabilities; (d) the Non-Debtor Affiliate Settlement Agreement, dated as of February 21, 2006, to which ▇▇▇▇▇▇▇ & ▇▇▇▇▇▇ Power Generation Group, Inc. (formerly known as, “The ▇▇▇▇▇▇▇ & ▇▇▇▇▇▇ Company”) and various of its Affiliates are parties; and (e) the Barberton Documentation.

Examples of Continuing Agreements in a sentence

• The parties hereto agree to review such Continuing Agreements and Ancillary Agreements, review and identify any other relevant intercompany agreements and to cooperate to take such further action as may be necessary for the termination, alteration or amendment of such agreements in order for such agreements to be consistent with, and to provide for, the implementation of the Transactions consistent with this Agreement.

• This Agreement, including any schedules or exhibits annexed hereto, the Ancillary Agreements and the Continuing Agreements embody the entire agreement and understanding of the parties hereto in respect of the Transactions, and shall supersede all previous negotiations, commitments and writings with respect to such subject matter.

• The Seller, on behalf of itself and its Affiliates that are parties to the Continuing Agreements, agrees to continue to provide to the Buyer the Products and Services being provided under the Continuing Agreements as of the Effective Date, in accordance with the terms of the applicable Continuing Agreement.

• Notwithstanding the foregoing, any intercompany accounts provided for on the exhibits or schedules to this Agreement or the Transition Services Agreement (including, for the avoidance of doubt, all TTO Related Accounts, and those Continuing Agreements listed on Schedule 2.5 hereto) shall not be subject to this Section 2.4.

• Neither this Agreement nor the Transaction shall modify, amend or otherwise affect any of the Continuing Agreements.

Continuing Agreements mean the agreements in the form of Exhibits F-1 through F-3.
