CONTRACTOR NAME CHANGE. An amendment is required to change the Contractor's name as listed on this Agreement. Upon receipt of legal documentation of the name change the State will process the amendment. Payment of invoices presented with a new name cannot be paid prior to approval of said amendment.

b) Doing business" is defined in R&TC Section 23101 as actively engaging in any transaction for the purpose of financial or pecuniary gain or profit. Although there are some statutory exceptions to taxation, rarely will a corporate Contractor performing within the State not be subject to the franchise tax.
c) Both domestic and foreign corporations (those incorporated outside of California) must be in good standing in order to be qualified to do business in California. Agencies will determine whether a corporation is in good standing by calling the Office of the Secretary of State.
CONTRACTOR NAME CHANGE. Conlractor shall provide a notice lo Slale 30 days prior to any changes lo the Conlractor's current legal name. If Xxx proposes any novation agreement, the Slate shall act upon the proposal 60 days receipt of Ihe written The Slale may review and the proposal, consult and negoliate with Ihe Conlraclor, and accept or reject all or part of proposal. Acceptance may be made orally wilhin the 60-day period, and confirmed in writing within five days. Conlraclor lo the Stale that will provide a drug-free workplace by doing all of following:
a. Publishing a stalement notifying employees that the unlawful manufaclure, dislribution, possession, or use of a conlrolled substance is prohibited in Ihe person's organization's workplace and specifying the actions that will be taken against employees violations of the prohibition.
CONTRACTOR NAME CHANGE. Effective February 9, 2018:
a. COUNTY hereby recognizes that Tyco International merged with SimplexGrinnell LP, and as part of the reorganization, Tyco changed its name to Xxxxxxx Controls and SimplexGrinnell LP changed its name to Xxxxxxx Controls Fire Protection LP. CONTRACTOR represents that there were no other changes to CONTRACTOR’S Federal Tax Identification Number (EIN), corporate business address, bank accounts, wiring instructions, or company management, technical staff and financial personnel. Neither the merger nor name change shall be considered an assignment for purposes of the ORIGINAL CONTRACT.
b. CONTRACTOR AND COUNTY agree that all references to “Tyco dba SimplexGrinnell LP” in the ORIGINAL CONTRACT are modified to read “Xxxxxxx
c. Neither the merger nor name change shall affect the obligations of the CONTRACTOR, and CONTRACTOR shall continue to perform all of its duties and responsibilities under the ORIGINAL CONTRACT.
d. Except as expressly amended hereby, all the remaining terms and conditions of the ORIGINAL CONTRACT shall remain in full force and effect.
CONTRACTOR NAME CHANGE. Effective January 1, 2018:
a. County hereby recognizes that L-3 Communications Mobile-Vision Inc. changed its name to L3 Mobile-Vision Inc., and that there was no change in ownership.
b. The parties agree that wherever “L-3 Communications Mobile-Vision Inc.” appears in the ORIGINAL CONTRACT, as amended, it is hereby replaced with “L3 Mobile-Vision Inc.”
CONTRACTOR NAME CHANGE. If at any time during the term of this CONTRACT or any extension or renewal thereof, CONTRACTOR changes its corporate name, by operation of law or otherwise, CONTRACTOR shall deliver to DISTRICT a copy of a Certificate of Name Change or such other evidence of CONTRACTOR’S name change and authority as is reasonably acceptable to DISTRICT. Such evidence shall be delivered to DISTRICT within ten (10) days of CONTRACTOR’S official name change, or, if not so delivered, then upon ten (10) day’s request from DISTRICT.
