The Master Servicer will not make any change to the Credit and Collection Policy (including changes that could increase the Contractual Dilution with respect to the Pool Receivables) that could reasonably be expected to either (i) materially and adversely affect the collectability, value or enforceability of any material portion of the Pool Receivables or (ii) have a Material Adverse Effect, in each case, without the prior written consent of the Required Lenders.
