Control Shares means shares that, except for this chapter, would have voting power

Control Shares means shares that, except for this chapter, would have voting power with respect to shares of an issuing public corporation that, when added to all other shares of the issuing public corporation owned by a person or in respect to which that person may exercise or direct the exercise of voting power, would entitle that person, immediately after acquisition of the shares, directly or indirectly, alone or as a part of a group, to exercise or direct the exercise of the voting power of the issuing public corporation in the election of directors within any of the following ranges of voting power:

Control Shares means shares of a covered corporation that when added to all other shares of the corporation beneficially owned by a person would entitle (except for this Article) that person to voting power in the election of directors that is equal to or greater than any of the following levels of voting power:

• The Corporation shall not be subject to the Oklahoma Control Shares Act as codified at Sections 1145-1155 of the Act.

More Definitions of Control Shares

Control Shares means shares of stock that, except for this subtitle, would, if aggregated with all other shares of stock of the corporation (including shares the acquisition of which is excluded from “control share acquisition” in subsection (d)(2) of this section) owned by a person or in respect of which that person is entitled to exercise or direct the exercise of voting power, except solely by virtue of a revocable proxy, entitle that person, directly or indirectly, to exercise or direct the exercise of the voting power of shares of stock of the corporation in the election of directors within any of the following ranges of voting power:

Control Shares means the twenty million (20,000,000) shares of Class B Common Stock having no economic value but entitling the holder thereof to ten (10) votes per share.

Control Shares means shares of Common Stock issued under an Issuer Shelf Registration Statement which if sold by the holder thereof would constitute “restricted securities” as defined under Rule 144.

Control Shares means (i) those voting shares of the Company that, upon acquisition of voting power with respect to such shares by an "Acquiring Person", would result in a "Change in Control" and (ii) voting shares of the Company beneficially owned by an "Acquiring Person" where such beneficial ownership was acquired (a) within 120 days of the day the person or group became an "Acquiring Person" or (b) with the intention of effecting a "Change in Control".
