If the Holder fails to provide written notice to the Company, within such five (5) Business Day period, the Holder shall be deemed not to have consented to such Conversion Election.
A Conversion Election Notice, once delivered, shall be irrevocable unless otherwise agreed in writing by Borrower Representative.
The Holder shall have five (5) Business Days after receipt of a Notice of Conversion to notify the Company in writing of whether or not it consents to the Company’s Conversion Election (a “Conversion Acceptance”).
