The Obligations constitute "Senior ------------------- Indebtedness" of the Company and the Borrowing Subsidiaries under and as defined in the Convertible Indenture.
The Company shall have delivered to the Global Agent, fully executed copies of the Senior Indenture, the 2001 Subordinated Convertible Indenture, and the Receivables Facility Documents (in each case, together with any and all amendments, supplements and/or other modifications thereto), certified by a Secretary or Assistant Secretary of the Company as being final and complete copies as of the Closing Date.
The Borrower shall, and shall cause its advisors to, negotiate with the Lenders and their advisors in good faith with respect to a repayment or other satisfaction of the Notes under the Convertible Indenture and the Indebtedness of the Borrower and its Subsidiaries under this Agreement.
